What we’re looking for:
Nexamp is looking to hire a Real Estate Counsel to join our Legal team. You will provide legal support for Nexamp’s business development function with a strong focus on distributed-generation development issues. You will be part of a growing legal department and expand the role into other business development functions. Your responsibilities will also include managing outside counsel and driving internal processes surrounding the acquisition, development, construction and operation of solar and storage projects. The ideal candidate will be detail-oriented, organized, and an energetic self-starting team member with a strong legal background in the area of site control acquisition, real estate, title, and development issues.
We are supporting flexible work arrangements but expect team members to be in the office 2-3 days per week. We are accepting candidates out of our Boston & Chicago offices. You will report directly to the Counsel, Business Development.
What you’ll do:
- Responsible for real estate and title policy acquisition for the development and construction of solar and storage projects, specifically ensuring projects are financeable with third-party debt and equity providers from a site control perspective by working with outside counsel, developers and financing parties. This includes analyzing title commitments to identify exceptions or defects that require curative action, reviewing title proformas and policies to ensure any defects or exceptions have been resolved to financing requirements, and reviewing ALTA surveys for project boundaries, legal descriptions, survey notes, certifications, and any encroachments, defects or conflicts that require curative action.
- Additional duties include reviewing and negotiating letters of intent, term sheets, requests for proposals, leases, options to lease, purchase and sale agreements, land acquisitions, access and utility easements, non-disturbance agreements, permits, and agreements required to cure title and survey issues, and development phase contracts such as consulting and services agreements, PILOT agreements, estoppels, amendments, and non-disclosure agreements for both projects in development and operation. This includes identifying and mitigating risks associated with the financeability of development phase contracts.
- Contributes to the development and improvement of contract templates and internal deal processes.
- Role can be expanded to include management of additional legal areas.
What you’ll bring:
- Law degree from an accredited law school.
- At least 3 years of legal experience required, preferably in a law firm setting. Strong experience in real estate and commercial land development issues is required.
- Specific experience in renewable energy projects is preferred, but candidates with strong backgrounds in finance, construction, energy, or commercial development are also encouraged to apply.
- Ability to work in a highly team-oriented environment and manage multiple projects simultaneously with little supervision to support various business units within the organization.
- Occasional travel may be required.
- Commitment to Nexamp's mission and have a passion for solving tomorrow's climate crisis today.
- Demonstrated experience in effectively communicating information, ideas, and perspectives with people inside and beyond your organization.
- Experience in showcasing initiative to make improvements to current work, processes, products, and services across the organization. We value accountability and an ownership mentality.
- Ability to ask appropriate questions, analyze data, identify the root causes of problems, and present creative solutions.
- Expertise in building strong internal and external relationships with customers and stakeholders, instilling trust and loyalty across the industry.
- Eagerness to develop a fundamental understanding of how Nexamp operates and then apply that knowledge effectively to inform business decisions.
If you don’t meet 100% of the above qualifications, but see yourself contributing, please submit an application. We encourage people from minority or marginalized groups to apply.
