ProspectBlue has partnered with a reputable company in Richmond, VA and is seeking a Senior Legal Specialist for their Corporate Headquarters in Glen Allen, Virginia. The Senior Legal Specialist will support the Law Department with respect to corporate and commercial transactional matters; SEC, NYSE and compliance process administration; corporate secretary matters; and Law Department initiatives and projects. This is a hybrid position. Responsibilities of the position include: • Support the preparation, negotiation, and documentation of routine and complex corporate and commercial transactions • Support periodic SEC reporting (10-K, 10-Q, 8-K), Section 16 reporting, and other SEC reporting matters • Support proxy statement preparation and related annual meeting matters • Administer the annual distribution of D&O and beneficial ownership questionnaires and related matters • Support the administration of director and employee equity compensation programs, coordinating as necessary with Human Resources, Law, Finance, and the Transfer Agent • Support the administration of corporate compliance programs and related compliance training • Support the Law Department in maintaining the books and records of the parent company and all subsidiaries (domestic and international) • Support the preparation of Board / Committee materials, including minutes and written consents • Support Law Department initiatives and projects and other matters as may be assigned from time to time Requirements of the position include: • 2+ years’ education beyond high school in college or technical school; graduation from a Paralegal program is preferred • 5+ years’ experience as a corporate paralegal under the direct supervision of an attorney • Ability to interact effectively with internal and external stakeholders of varying levels of seniority, including external lawyers, senior management, business associates, vendors, directors, and stockholders • Ability to prioritize and balance competing demands in a high-volume, fast-paced work environment; experience in-house with a public company preferred • Ability to work independently, exercising sound judgment as to when to seek guidance • Ability to identify and resolve or escalate issues in a timely manner • Excellent written and verbal communication skills • Excellent organizational skills and the ability to manage multiple projects with little oversight
