Assistant General Counsel - Transactions

Temple Health is seeking an Assistant General Counsel to serve in Temple Health’s legal department. This role will report to Temple Health’s Associate General Counsel - Chief Transactions Counsel and will be responsible for negotiating a wide range of agreements across all of Temple Health and providing advice and guidance to Temple Health leadership on legal and regulatory issues.  

This is an excellent opportunity for an attorney with 4+ years of experience in a law firm or in-house setting to develop and hone healthcare law expertise.  This Assistant General Counsel will be a generalist in a rigorous and collegial legal department serving an academic medical center with challenging and impactful legal issues.  A background in healthcare, regulatory, transactional and/or litigation would be a strong foundation for this role.  Most important for success in this role is intellectual curiosity and a desire to advance the legal interests of a leading academic medical center and its mission of providing the highest quality medical care in the Philadelphia community and supporting world-class medical research.

Key Responsibilities:

Transactions\: Draft, review, and negotiate agreements related to, for example\: equipment and supply purchases; clinical and non-clinical professional services; managed care; property leases and licenses; acquisitions and joint ventures; educational affiliations; research; and information technology.
• Commercial Dispute Counseling\: Interpret contracts and advise Temple Health leaders on contractual questions and commercial disputes.
• Regulatory Expertise\: Ensure compliance with applicable laws and regulations, including HIPAA, anti-kickback, Stark, and fraud & abuse.
• Cross-Functional Collaboration\: Work closely with internal stakeholders across the Health System including operational leadership, clinical leadership, compliance, IT, contract administrators, and colleagues in the Legal Department.
• Strategic Initiatives\: Participate as a legal advisor on multi-disciplinary strategic initiatives.

Candidate Profile\: 

The ideal candidate will have demonstrated experience in the following areas:

In key client interactions, presents ideas logically, assertively and effectively.  Facilitates consensus and uses it effectively to resolve conflict and overcome resistance. 
• Strong and Effective Judgment. Thinks logically and exercises well-developed and independent judgment to produce creative and constructive solutions under pressure. Demonstrates experienced and seasoned strategic and analytic approach to solving clients’ legal needs. 
• Strong Transactional Skills. Adept at drafting and negotiating complex agreements that balance legal risk with academic and business priorities.
• High-level Creative Problem Solver. Handles and brings complex and sophisticated legal matters to a successful conclusion with minimal supervision. Can resolve, or lead the resolution of, critical legal issues faced by Temple Health and its leadership with a focus on identifying and adding enterprise value. 
• High Level of Industry. Shows a self-reliant work ethic and a high level of productivity and efficiency.
• Solid, Self-assured Leader. Demonstrates effective leadership skills and instincts.
• Strong Communicator and Collaborator. Communicates and collaborates effectively and skillfully with colleagues and clients, both orally and in writing. 
  
  

Qualifications:

• 4+ years of relevant experience in a top law firm, in-house legal department, or academic medical center.
• Legal experience advising clients in a healthcare or life sciences setting is preferred but not required.  This is an excellent opportunity for an ambitious attorney with experience in a law firm or in-house setting to learn and grow in a fast-paced, demanding environment with colleagues practicing law at a high level in support of sophisticated clients at a leading academic medical center.
