General Job Summary

Oversees and manages the provision of all legal services to the institution and its Puerto Rico subsidiaries, to ensure maximum protection of its legal rights while limiting risk exposure and maintaining its operations within the limits prescribed by law. Assists officers, upper management, and directors of the institution in carrying out the mission of the institution, be the BOD Secretary and manage strategic business projects. Manages attorneys, including outside counsel. Oversees and represents institutions in all legal proceedings, including but not limited to, lawsuits and complaints. Oversees, reviews and drafts all institution and its Puerto Rico subsidiaries contracts.

Essential Function and Responsibilities

  • Provides legal counsel and guidance to the officers, upper management, directors and various business units of the institution and its Puerto Rico subsidiaries on a variety of legal and policy issues and matters relevant to the Institution, including, but not limited to, those relating to corporate, contracts and industry related matters.

  • Anticipates and identifies legal issues and counsels officers, upper management and various business units in order to develop legal strategies and solutions.

  • Reviews, researches, interprets, and/or prepares both written and oral opinions on a wide variety of legal issues.

  • Reviews and counsels officers of the institution and other upper management on policies and procedures, regulations, bylaws, and other legal documents.

  • Reviews all Institution and its Puerto Rico subsidiaries’ contracts, including but not limited to, all leases, vendors, providers and other legal documents; researches legal issues and recommends revisions as necessary. Drafts contracts where appropriate.

  • Represents or oversees all judicial and administrative proceedings against the Institution and oversees all outside counsel hired for such representation.

  • Serve as liaison among industry regulators, both locally (PR) and stateside (USA) and manage, conduct internal investigations and respond to all client complaints filed before the industry regulators.

  • Develops and manages annual department budget.

  • Establish credibility throughout the organization and with the Board as an effective developer of solutions to business challenges. Attend Board and Subcommittee meetings; as Secretary of the Board of Directors of the Institution and its Subcommittees where the General Counsel forms a part of.

  • Ensures the Institution’s success providing legal review and advice on diverse legal documents and matters as requested by its branches and managers.

  • Selects and oversees outside counsel to obtain legal opinions or to handle claims and litigation.

  • Evaluate the legal division structure and team plan for continual improvement of the efficiency and effectiveness of the group as well as provide individuals with professional and personal growth with emphasis on opportunities (where possible) of individuals.

  • Supervises legal staff and outside counsel.

  • Performs other job-related duties as assigned.

Requirements

  • Equivalent to a Doctoral Degree (PH D) of a recognized university or college.

  • More than seven (7) years to and including nine (9) years

  • PR State Bar

  • Develop and implement legal strategies and solutions.
