Job Description:
The Bank of America Global Technology Legal team, which supports the bank’s Global Technology organization, is seeking a talented, versatile and dynamic attorney to conduct contract reviews and negotiations as part of information security due diligence of vendors proposing or selected to provide products/services to Bank of America. We are looking for an attorney with initiative and drive who can handle a high volume of potentially complex legal work, conducting contract reviews and contract negotiations pertaining to information security provisions.
Responsibilities:
- Conducting contract reviews and negotiations as part of information security due diligence of vendors, drafting and providing alternate contractual terms when third parties make unacceptable changes to the bank’s standard information security material terms.
- Following established processes, assessing risk and thinking laterally, negotiating alternate contractual terms or language to optimally address the concerns of the third party while maintaining the information security protections the standard terms were designed to accomplish.
- Leading escalation of deviations from the bank’s standard information security terms to senior information security and business leaders, ensuring that all applicable processes are followed and appropriate escalations made.
- Providing strategic advice to internal clients that balance business objectives and legal and information security risk.

Required Qualifications:
- Juris Doctor from an accredited law school
- Active member in good standing of at least one state bar or the District of Columbia
- Minimum of 3-5 years’ experience drafting, negotiating, and providing guidance on commercial contracts;
- A genuine interest in information security and a commitment to continual learning in this fast-moving domain
- Leveraging sound judgment and an understanding of business goals to help internal clients evaluate risk effectively
- Ability to work independently, prioritize work, effectively manage multiple issues at one time, and interact effectively with personnel at all levels (including up to executive level management) across the organization.
- A proven record of being an effective team player dedicated to collective successes. The ability to promote cooperation and solve problems in a timely, creative, and professional manner.
- Presenting in front of non-legal stakeholders and communicating legal concepts in a clear, straightforward, and practical way
- Strong attention to detail and excellent analytical skills
Desired Qualifications:
- A deep understanding of information security and/or technology
- Previous information security audit and assessment experience, or experience of negotiating information security provisions
- Strong command of the laws and regulations applicable to technology and information security in the financial services industry.
