Job Summary:
The Corporate Counsel, reporting to the Assistant General Counsel, will excel in a dynamic and fast-paced environment, managing a diverse range of legal matters. The ideal candidate will possess the ability to deliver practical and strategic legal advice across various disciplines, effectively prioritize competing demands, and adapt seamlessly to the evolving needs of the business. As a trusted advisor to senior management, the Corporate Counsel will play a pivotal role in assessing legal risks, identifying opportunities, and evaluating the implications of business decisions to drive informed and strategic outcomes. This role is expected to be in office a minimum of 3 days per week.
Job Functions:
- Project Development: Provide legal support for project development activities, including real estate matters, interconnection arrangements, and engagement with local, state, and federal agencies.
- Procurement & Construction: Advise on equipment procurement and construction contracts to ensure compliance and mitigate risk.
- Transactions: Support mergers and acquisitions (M&A), debt financing, and tax equity arrangements.
- Operational Support: Oversee legal aspects of operating projects, including financing compliance, contractual obligations, offtake arrangements, environmental matters, and resolution of contractor or performance disputes.
- Regulatory Compliance: Ensure adherence to applicable regulations, including FERC, NERC, permitting requirements, and internal compliance standards.
- Corporate Governance: Manage general corporate matters such as non-disclosure agreements (NDAs), service agreements, consulting and employment contracts, and software licensing.
- Cross-Functional Collaboration: Collaborate with internal teams across operations, development, finance, and energy management to align legal strategies with the company’s broader business objectives.
- External Counsel Management: Coordinate and oversee relationships with outside legal counsel to ensure the delivery of high-quality, cost-effective legal services.
Education/Experience:
- Active bar membership in good standing, in at least one State.
- 3-5 years corporate legal experience in a law firm or in-house setting.
- Power generation or energy infrastructure experience required.
- Experience within renewable energy preferred.
- Ability to work independently, manage multiple priorities, and advise stakeholders.
- Excellent communication, writing, and negotiation skills, attention to detail, and judgment.
