We are seeking a detail-oriented and proactive Paralegal to support our legal team with a focus on real estate transactions and entity compliance. The ideal candidate will have experience in managing the real estate acquisition and disposition process, ensuring compliance with corporate regulations, and providing administrative support to the General Counsel.
Key responsibilities include, but are not limited to:
Real Estate Acquisition/Disposition Process:
- Oversee the entire real estate acquisition and disposition process, including:
- Entity formation and drafting operating agreements.
- Managing critical dates related to Purchase and Sale Agreements (PSAs).
- Coordinating with outside counsel to prepare necessary transaction documents.
- Liaising with Title Companies to obtain title commitments and all necessary searches.
- Working with Surveyors to ensure surveys meet Lender requirements.
- Managing lender checklists.
- Creating entity resolutions, as well as incumbency certificates.
- Assisting in the creation of organizational charts.
- Coordinating insurance requirements related to transactions.
- Managing and tracking due diligence checklists.
- Abstracting loan agreements and ongoing title requirements.
- Monitoring and tracking post-closing items to ensure compliance.
Membership Interest Transfers:
- Process and manage membership interest transfer requests, ensuring compliance with all legal requirements and company policies.
Entity Level Compliance:
- Manage corporate compliance initiatives, including:
- Filing requirements related to the Corporate Transparency Act.
- Maintaining up-to-date records for all entity-level compliance activities.
General Counsel Support:
- Manage the General Counsel’s calendar and tasks, ensuring timely completion of assignments and effective prioritization of legal matters.
The ideal candidate should have a background including:
- Bachelor’s degree or equivalent experience in Paralegal studies or related field.
- A minimum of 3 years of experience as a Paralegal, preferably in commercial real estate law.
- Strong understanding of real estate transactions, corporate governance, and compliance matters.
- Excellent organizational skills with the ability to manage multiple tasks and deadlines.
- Proficient in legal research and documentation.
- Strong written and verbal communication skills.
- Proficient in Microsoft Office Suite, Microsoft Teams, and SharePoint.
- Certification from a recognized paralegal association is a plus.
