Attorney responsible for legal support to business units and departments and various other duties as assigned by the Head of Legal.
Business Strategy, Policies and Tools
- Assist the Deputy General Counsel – Commercial and Head of Legal in a broad range of areas including commercial agreement review, commercial litigation, mergers and acquisitions, asset purchases and sales, joint venture matters and due diligence.
- Keep the Deputy General Counsel – Commercial and Head of Legal appraised of material developments and legal matters on a timely basis and exercise sound business and legal judgment to enable them to discharge their respective duties and responsibilities as the senior legal leaders of the Company.
Legal
- Senior counsel advising the Global Airline Catering Sales Group, the Retail Sales Group, and other corporate office functional groups (e.g., Accounting, Tax, Treasury, IT, Marketing, Procurement, and Real Estate). Duties include negotiating, writing, reviewing, red-lining, and administering commercial matters including, but not limited to, vendor, outsourcing, nondisclosure, consulting, commercial contracts, and other functional documents.
- Counsel and advise mid-to-senior level management team on complex and developing legal and business issues including contractual interpretation, bankruptcy, intellectual property, antitrust, TSA, FAA, FDA, and USDA matters, actual and potential lawsuits (e.g., transactional disputes and commercial litigation), as well as develop and recommend Company position on other legal issues.
- Advise and counsel various US affiliates on commercial matters.
- Perform corporate maintenance and record-keeping activities for the Company and its US affiliates.
- Assist with regulatory compliance for the Company and its affiliates, including assisting the Compliance team with company compliance programs.
- Provide legal counsel on issues arising from actual or anticipated commercial demands/lawsuits; conduct and/or assist with contract dispute negotiations and settlements.
- Draft, review, edit and administer all aspects concerning form agreements / corporate transactional templates.
- Provide legal guidance on Company policies (e.g., Records Management, Retention and Destruction Policy; Privacy Policy; AI Use Policy).
- Conduct and / or coordinate research and prepare reports respecting legal issues.
- Coordinate legal matters with internal departments and provide general legal counsel and advice.
- Assist with the management of intellectual property matters and with commercial litigation.
- Assist with the Management of the Extern Program which includes support, guidance, and training to allow hands-on legal experience for the Extern in a corporate setting.
- Write, review and edit reports, opinions, correspondence, articles and other documents.
- Assist with legal training to CSC management and HDQ departments regarding pertinent legal issues.
- Perform such other duties as the Deputy General Counsel – Commercial or Head of Legal may assign.

- Proactively support other departments and functions as a Legal subject matter expert.
- Must have a JD degree, admission to a state bar, and a minimum of 4+ years experience
- Ability to work independently with some supervision and direction
- Mentoring of junior level attorneys and paralegals.
- Excellent verbal and written communication skills and the ability to prioritize and handle a wide variety of projects
- Strong negotiation skills
- Strong people skills are a must
