Position Summary:
The Corporate Counsel position will have significant responsibility for providing legal advice and counsel to senior management and Company-wide leadership in connection with a broad range of business transactions and general corporate matters related to the Company’s activity in the US.
Reporting to the Company’s Head of Legal, he/she will have responsibility and accountability for FCC Environmental Services' business in North America, including commercial contracts, compliance matters, risk exposure, corporate governance, contract management and negotiations, as well as advising on a wide variety of other legal matters.
The Corporate Counsel must possess a hands-on work ethic and excellent interpersonal skills. This position represents an excellent opportunity to grow and develop while making a substantial contribution to the business.
Essential Functions / Major Responsibilities
- Participate in strategic and operational business discussions and clearly communicate how legal issues will affect business operations and recommend strategies to minimize legal risk and maximize opportunities.
- Responsible for managing the legal matters of the organization, including early identification, advice to the appropriate business function, and resolution of all legal and compliance risks.
- Assist with FCC's legal matters in North America, by providing sound, well-reasoned legal advice to the business and maintaining strong business relationships among the various internal business groups.
- Advise on strategic transactions as well as ongoing legal matters.
- Responsible for drafting, reviewing, and negotiating a wide range of legal contracts in support of various departments and activities; effective management of contracting requirements.
- Will provide legal and business input on all aspects of FCC Environmental Services' business, including Operations, Technical, Proposals, Finance, Human Resources and in the development of new or revised contracts, policies and procedures.
In addition, specific functions will also include:
- Providing legal analysis and counsel on current or potential litigation matters
- Reviewing the terms and conditions of existing commercial open market service agreements
- Partnering with Human Resources and Health & Safety teams on relevant matters
- Assisting in the review of RFP contracts
- Assisting with current contract verbiage and updates - as necessary - per the company's request
- Manage and monitor any changes in law/ regulations that may affect previous contracts
- Reviewing communication sent to cities and counties, including price increase requests or other matters
- Assisting with any property damage claims and liaising with insurance companies
- Settling disputes and litigation overview
- Managing state and local registrations and other corporate filings
Experience:
Professional experience working in a corporate legal practice or as a corporate attorney; providing legal advice on a broad range of corporate matters.
- Law degree from accredited law school and membership in good standing with any state bar
- 3-5 years of experience practicing general corporate and contract law
- Experience in a technical / industrial business environment, or assisting clients
- Substantial knowledge and understanding of all aspects of corporate law, required.
- Proven ability to analyze and apply legal principles and precedents to legal issues
- Ability to perform legal research, evaluate alternatives, and make sound recommendations
- Clear business acumen and understanding of the Company’s business and its objectives
- Overall broad legal knowledge (corporate law, litigation, labor law, etc.)
- Hands-on experience drafting and negotiating a wide array of contracts
- Previous experience working for an international company with a strong US footprint will be valued.
