Provide legal and compliance advice and support in relation to a range of matters affecting the FUJIFILM Diosynth Biotechnologies (FDB) US businesses (currently located in North Carolina, Texas, and California) and the wider global FDB legal and compliance team.
FUJIFILM Holdings America Corporation is the holding company for North American based FUJIFILM companies operating in many states across the US, as well as in Canada, Brazil and Colombia and engaged in the research, development, manufacture, sale and service of FUJIFILM products. The company serves a broad spectrum of industries in the U.S. including medical and life sciences, electronic, chemical, graphic arts, information systems, broadcast, and photography.
Responsibilities
- Commercial and Program Management support: CDMO Counsel will be able to (i) lead the legal review, drafting and negotiation of all types of business as usual commercial agreements (for example master services agreements; scopes of work; supply agreements; IP licenses and CDAs) including those relating to strategic and high profile customer collaborations (ii) work with FDB’s patent agent on IP matters; and (iii) identify and advise on associated commercial and Quality issues arising out of commercial agreements; in each case identifying the need for assistance from, and managing, expert assistance when required. CDMO Counsel will be able to act independently with escalation of issues to Assistant General Counsel, compliance, and business management, when required.
- Risk Management: CDMO Counsel will be able to identify legal and business risk (in the legal context) and develop strategies and solutions to enable the business to resolve and/or mitigate those risks.
- Management briefing: CDMO Counsel will be able to brief, and advise, business management on legal issues.
- Precedent documentation: CDMO Counsel will assist with maintaining/growing the existing bank of precedent legal documents for use in the business and be able to provide training to the business on the use of those documents. CDMO Counsel will be cognizant of the fact that precedents may be implemented across the whole of the FDB group (not just in the US) and take all steps necessary to ensure fitness for purpose.
- Compliance: CDMO Counsel may assist Assistant General Counsel and Compliance Team with compliance issues and may assist with roll out of compliance policy and training.
- Policy and Guidance: CDMO Counsel may assist Assistant General Counsel with the implementation of business policies and guidance; legal projects and roll out of associated legal training/mentoring to the business.
- Ancillary legal support: CDMO Counsel may assist with providing support to business functions such as HR, EHS and Capital Projects including identifying the need for assistance from, and managing, expert assistance when required.
- FDB Affiliates: CDMO Counsel will be able to work with US/European FUJIFILM Legal Department and Compliance Team colleagues supporting FDB’s sister companies to help achieve the FDB group corporate objectives.
Required Skills/Education
- Bachelor’s degree and juris doctorate from accredited law school. Academic honors preferred.
- Admittance in good standing to at least one state bar.
- 6+ years of relevant experience in-house, or a combination of in-house and law firm experience, preferably for CDMO/Life Science companies
- Solid commercial contract background with extensive drafting and negotiating experience.
- Knowledge of legal practices, including regulations affecting Life Science/Pharma companies is a plus
- Independently engage with business teams and negotiate the necessary contracts, as required.
- Assist with growing the existing bank of precedent legal documents for use by the business teams and project teams and be able to provide training on use of those documents.
- Work with the broader US/European FUJIFILM Legal Department and Compliance Team colleagues to help achieve the FDB group corporate objectives and obtain specific subject matter support (e.g., corporate, HR, IP), as necessary.
