SUMMARY
The Paralegal assists the Legal Department by preparing a variety of legal documents and performing legal research, which requires knowledge of legal requirements and the financial services industry. This position will assist on a variety of matters related to corporate governance, litigation, complex transactions, and regulatory compliance. Additionally, this position will also perform specifically delegated legal work for which a lawyer is responsible.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Provides legal support to the in-house Legal Department.
- Assists with legal department operational matters including invoice management; works closely with outside counsel billing departments.
- Organizes documents required in connection with regulatory or legal proceedings.
- Conducts fact gathering interviews and documents research.
- Issues and maintains litigation holds;
- Assists with the gathering of information in response to discovery requests and similar inquiries.
- Files annual reports and monitors state requirements for company and subsidiaries.
- Assists General Counsel in preparing closing documents and handling other matters in connection with M&A transactions.
- Assists in maintaining corporate records.
- Assists in preparing agendas, resolutions, minutes, consents, certifications, and other corporate governance documents.
- Assists with securities-related filings, including Forms 8-K, 10-Q, 10-K, proxy statements, and Section 13 and 16 filings.
- Assists in coordinating all aspects of Board of Directors and annual shareholder meetings, including meeting agendas and distribution of materials, as well as logistical and administrative arrangements.
- Assists in designing and administering corporate policies and procedures.
- Assists with various compliance matters.
- Drafts legal correspondence.
- Assists in developing databases, presentations, spreadsheets, and other online applications related to the work of the legal department.
- Works with members of the Executive Team and Senior Leadership Team in providing information and materials related to matters referenced above.
- Meets deadlines under tight time frames with multiple ongoing projects.
- Works cross-functionally across the company as a liaison for the legal team.

KNOWLEDGE, SKILLS AND ABILITIES
- Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations.
- Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.
- Ability to communicate effectively, including communicating orally and in writing in a clear and concise manner, and communicating effectively with internal and external colleagues with a variety of personalities and viewpoints.
- Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.
- Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.
EDUCATION AND/OR EXPERIENCE
- Associate's Degree or paralegal certification required
- 1-3 years experience in a paralegal role or executive administrative assistant role preferred
