
In-House Mergers & Acquisitions (M&A) Counsel

- Draft, review, and negotiate a wide range of transaction-related documents, including NDAs, purchase agreements, employment, and services agreements.
- Serve as point of contact for internal teams and external counsel during deal execution.
- Lead legal due diligence processes, identifying material issues and advising on risk mitigation strategies.
- Analyze healthcare-specific risks, including provider licensing, regulatory compliance, and patient data management.
- Advise on legal compliance related to healthcare regulations (e.g., HIPAA, Stark Law, Anti-Kickback Statute, CMS, state-specific rules).
- Collaborate with internal compliance and clinical operations teams to evaluate and implement regulatory best practices.
- Oversee legal elements of onboarding new clinics and physician groups into the platform.
- Facilitate seamless transition of contracts, corporate governance, and employment arrangements.
- Create and maintain M&A legal templates, checklists, and playbooks to improve transaction efficiency.
- Support education and training of internal stakeholders on transaction-related legal issues.
- Juris Doctor (J.D.) from an accredited law school.
- [Active license to practice law in Texas or eligible for in-house counsel registration.]
- 5–10 years of legal experience, with significant focus on M&A transactions.
- Background in healthcare M&A (multi-site clinics, physician practice groups, PE-backed healthcare, or similar sectors) is strongly preferred.
- Solid understanding of corporate governance, healthcare regulatory landscape, and post-acquisition legal needs.
- Excellent drafting, negotiation, and organizational skills.
- Ability to work independently and collaboratively in a fast-paced, mission-driven environment.

- Must be able to lift up to 15 pounds at times (e.g., transporting a laptop or small materials for meetings).
- Visual acuity to view computer screens, read contracts, and other documents.
