Job Description

Position Overview 

We are seeking a highly skilled, product-focused, and technology-savvy in-house attorney to serve as a trusted strategic partner and decision-maker across critical business areas, including direct selling, digital platforms, emerging technologies, privacy, beauty and connected devices, and global distributor models. 

This role functions as embedded product and business counsel, partnering closely with senior leaders and cross-functional teams throughout the end-to-end product lifecycle across digital platforms, software, mobile applications, and technology-enabled commercial models. The ideal candidate brings strong legal and business judgment, deep understanding of technology-driven business models and global regulatory frameworks, and the ability to recommend clear paths forward—and, where appropriate, make legal determinations—to enable growth and execution in a fast-paced, innovation-driven environment. 

 

Key Responsibilities 

Direct Selling Market & Distribution Models 

  • Serve as a strategic legal partner supporting global direct selling and network marketing models, including drafting and maintaining distributor agreements, sign-up flows, and digital onboarding processes. 

  • Interpret and apply direct selling, MLM, consumer protection, and platform-based sales regulations to shape compliant, scalable business models across global markets. 

  • Design and operationalize policies governing commissions, performance incentives, and sales representative conduct, balancing regulatory expectations with commercial objectives. 

  • Partner with operations and digital teams to build platform governance and compliance frameworks that scale with distributor-facing tools and global growth. 

 

Affiliate, Influencer & Digital Marketing Programs 

  • Draft, negotiate, and structure affiliate, influencer, and creator agreements, including AdTech-enabled and social commerce models. 

  • Provide product-level guidance on digital attribution models, cookies and tracking technologies, consent management platforms (CMPs), and disclosure frameworks. 

  • Ensure compliant and scalable execution of digital marketing strategies across global channels, including FTC advertising rules, social media regulations, and platform terms. 

 

Policies, Procedures & Risk Management 

  • Develop, implement, and operationalize practical legal frameworks, internal policies, and procedures that support innovation and global expansion. 

  • Partner with senior leadership to evaluate risk, recommend paths forward, and enable informed, timely business decisions. 

  • Provide go-to-market (GTM) legal leadership for new products, features, and technology-enabled business models. 

 

Technology, Product & Digital Innovation 

  • Act as lead product counsel for digital platforms, software, mobile applications, firmware-enabled products, and connected devices. 

  • Embed legal judgment into the software development lifecycle (SDLC), supporting Agile and DevOps teams with feature-level review and launch readiness. 

  • Draft and negotiate SaaS agreements, cloud services contracts, API licenses, EULAs, Terms of Service, and technology procurement agreements. 

  • Oversee open-source software (OSS) compliance, platform governance, licensing strategy, and technology commercialization efforts. 

  • Ensure legal frameworks support e-commerce platforms, subscription models, digital payments, and online marketplaces, including click-wrap and browse-wrap agreements. 

 

Privacy, Data Protection & Security 

  • Design and implement privacy-by-design and data governance frameworks in compliance with GDPR, CCPA/CPRA, and other global privacy regimes. 

  • Provide practical guidance on data minimization, cross-border data transfers, vendor risk management, and data processing agreements (DPAs). 

  • Partner with security and IT teams on incident response playbooks, breach notification obligations, and regulatory reporting. 

  • Guide consumer and employee data practices, digital tracking technologies, and cybersecurity risk mitigation strategies. 

 

 

Cross-Functional Collaboration & Enablement 

  •  Serve as an embedded legal partner to product, engineering, marketing, privacy, and operations teams. 

  • Deliver business-first legal guidance that enables innovation while managing risk. 

  • Develop and deliver training for internal teams on legal best practices, regulatory trends, and platform compliance. 

  • Coordinate with external counsel and regulators on complex or high-risk matters, as needed.  

 

Strategic Counsel 

  • Stay current on emerging legal and regulatory developments impacting technology, digital commerce, privacy, and direct selling. 

  • Exercise strong legal and business judgment to recommend practical paths forward, enabling scalable solutions in a rapidly evolving regulatory landscape. 

  • Counsel senior leadership on risk-based decision-making, providing clear recommendations and, where appropriate, making legal determinations to enable timely execution.

Qualifications 

  • J.D. from an accredited law school. 

  • Admission to the bar in at least one U.S. jurisdiction, with the ability to practice in or support matters involving Utah and global markets. 

  • 5+ years of experience in corporate, transactional, or product-focused legal roles, preferably in technology-enabled or consumer-facing businesses. 

  • Demonstrated experience drafting and negotiating complex commercial agreements, including distributor, affiliate, SaaS, licensing, and digital platform agreements. 

  • Working knowledge of digital technologies, data privacy frameworks, e-commerce regulations, and consumer protection laws. 

  • Proven ability to manage complex matters, prioritize effectively, and communicate decisively with senior business stakeholders. 

  • Experience operating in a fast-paced, iterative, and growth-oriented environment.
