- 5–10 years of relevant legal experience, with significant time spent in commercial contracting (in-house experience strongly preferred).
- Proven ability to negotiate complex agreements and balance legal and commercial considerations effectively.
- Excellent drafting, communication, and interpersonal skills with a proven ability to influence and collaborate across functions.
- Strong business acumen and a practical approach to problem-solving, with the ability to provide practical, risk-balanced advice in a fast-paced environment.
- Familiarity with contract management systems and process optimization is desirable.

Position Overview
Valicy Gaming is seeking an experienced and business-oriented Associate General Counsel to join our in-house legal team. This role will focus on supporting, and potentially leading, the company’s commercial contracts function, ensuring that all business transactions are structured, negotiated, and executed efficiently while protecting the company’s legal and business interests.
As a manufacturer and developer in the gaming industry, Valicy operates in a highly regulated environment. The successful candidate will combine strong commercial contracting expertise with sound judgment and an understanding of regulatory and compliance frameworks affecting the gaming industry.
The ideal candidate is a strategic thinker with deep experience in commercial transactions, strong drafting and negotiation skills, and a collaborative mindset. As a key member of the Legal Department, this role will partner closely with teams across the organization—including Sales, Product, Procurement, Operations, and Finance—to drive contract processes, balance legal risk with operational goals, and provide pragmatic legal advice.
Key Responsibilities
- Understand company Mission, Vision, and Values and be an ambassador of MVV.
- Lead and manage commercial contract activities, including drafting, negotiating, and advising on:
- Sales, distribution, and licensing agreements.
- Vendor and supplier contracts related to manufacturing, technology, and professional services.
- Marketing, promotional, and content agreements.
- Confidentiality and IP licensing arrangements.
- Ensure compliance with applicable gaming, regulatory, and licensing requirements across jurisdictions when structuring commercial transactions.
- Partner closely with Sales, Product, Engineering, Operations, and Compliance teams to facilitate efficient deal execution while maintaining regulatory and risk standards.
- Develop and maintain standardized contract templates and process documentation to support scalability and consistency.
- Provide guidance on contract lifecycle management and help improve internal review and approval workflows.
- Advise on risk assessment and mitigation strategies related to commercial and technology transactions.
- Train and educate business partners on contract principles, negotiation best practices, and compliance obligations.
- Collaborate with the broader Legal and Compliance teams on adjacent matters such as licensing, data privacy, IP protection, and product approvals.
- Assist with broader legal matters as needed, including corporate governance, compliance, employment, and intellectual property issues.
- Contribute to the evolution of the Legal Department, helping to build scalable systems and processes as the company grows.
- Potentially lead or supervise contract managers, paralegals, or other legal team members involved in the contracts function.
