Job Title: Corporate Counsel (Contract)
Location: Atlanta, GA
Duties:
Provides legal advice and recommendations for action to executives, management, and contracts team regarding matters of varying complexity which have or may have a material dollar impact on business activities and operations. Utilizes a knowledge of one or more legal specialties with sound business acumen and knowledge of the business goals and objectives as they relate to the matter at hand. Research legal principles and precedents, consult with outside counsel, draft and execute legal documents, negotiates complex agreements, gather relevant case related information using multiple sources and methods, manages litigation, provide direction to external counsel, other professional, paraprofessional, and support staff in developing solutions to problems presented.
Position Description
- Day to day advising of business partners working on new and existing technology infrastructure, including compliance advising in relation to the same.
- Structure, drafting, and negotiation of technology contracts with vendors and strategic partners (e.g., software licenses, hardware purchases, professional services agreements, consulting agreements, reseller agreements, and outsourcing agreements).
- Day to day advising and support for Company's merchant acquiring product teams, and corporate functions including finance, accounting, business technology services, and credit/risk teams.
- Handle other general corporate work as necessary
Qualifications:
- At least 3-5 years relevant experience in legal practice at a high-quality law firm, in-house legal position or both; member in good standing of at least one state bar; law degree from a top-tier law school.
- Law degree from a top 25 school preferred
- Experience with an AMLaw 100 firm is a plus, but not required
Required Skills:
- Experience with technology transactions and/or product counseling
- Knowledge of laws and regulations generally applicable to payment or financial services providers
- Knowledge of and experience with privacy and/or data protection regulations
- Experience advising corporate clients
- Flexibility and willingness to work on a broad variety of legal matters
- Excellent oral and written communication skills Desired Skills
- Experience in the payments industry or financial services industry
- Experience with information security standards and data privacy regulations
- Experience with intellectual property counseling, including trademark and patent portfolio management
- $70 - $85/hour
