Job Summary:
Our client is seeking a Senior Counsel to serve as its first dedicated legal hire and trusted advisor across the business. This role will lead complex enterprise SaaS contracting while building the foundation for a scalable legal function, with a clear path to General Counsel as the company grows.

Our client is an all-in-one OSS/BSS platform built for Internet Service Providers and telecom operators. Its platform helps customers modernize and streamline critical business functions, including billing, CRM, operations, automation, workforce management, network monitoring, inventory, and customer portals. Headquartered in Quebec City, they are a rapidly growing SaaS company focused on helping ISPs and telecom providers replace fragmented legacy systems with a modern, unified platform.

About the Role:
They are hiring its first in-house legal professional to support a fast-scaling commercial organization and an increasing volume of sophisticated enterprise transactions. Reporting directly to the CEO, the Senior Counsel will own the company’s legal function from day one, with a primary focus on drafting, negotiating, and managing complex SaaS sales agreements.

This is a highly visible, high-impact role for a business-minded legal leader who thrives in entrepreneurial environments. In addition to commercial contracting, this person will advise on a broad range of legal matters across the company, partner with outside counsel when needed, and help shape the long-term legal strategy and infrastructure of the business.

Duties and Responsibilities:

  • Draft, review, redline, and negotiate complex enterprise SaaS agreements, including MSAs, SOWs, order forms, DPAs, SLAs, NDAs, and related commercial documents
  • Partner closely with Sales and leadership to support deal velocity while balancing legal risk and commercial objectives
  • Negotiate directly with customer legal teams and other external stakeholders on high-value commercial transactions
  • Develop scalable contracting tools and processes, including playbooks, fallback language, clause libraries, and approval workflows
  • Advise on legal considerations related to deal structuring, contract terms, and non-standard customer arrangements
  • Serve as the primary internal legal advisor across business functions, including leadership, product, engineering, finance, and operations
  • Manage outside counsel relationships for specialized legal matters and ensure efficient, practical use of external resources
  • Support corporate governance matters, entity maintenance, and general corporate housekeeping
  • Advise on employment-related matters, internal policies, and general compliance issues
  • Partner on intellectual property strategy, including trademark and copyright considerations
  • Provide guidance on privacy, data protection, and security-related obligations, including frameworks such as GDPR and CCPA
  • Identify emerging legal and regulatory risks relevant to business and industry
  • Help build the long-term legal function, including processes, tools, and future team structure

Qualifications:

  • J.D. from an accredited law school
  • Active bar membership in at least one U.S. state
  • 7–12+ years of legal experience, with strong depth in commercial and transactional work
  • Significant experience drafting and negotiating enterprise SaaS or technology sales agreements
  • Strong understanding of SaaS business models, subscription structures, and enterprise software contracting
  • Demonstrated success supporting complex B2B transactions with sophisticated counterparties
  • Excellent business judgment and the ability to provide practical, solutions-oriented legal advice
  • Strong communication skills, with the ability to translate legal concepts into clear business guidance
  • Comfortable operating independently as a solo legal leader in a fast-paced, evolving environment
  • Experience managing outside counsel and working cross-functionally with business teams
  • Entrepreneurial mindset and a collaborative, low-ego approach
