As the firm continues to grow, they are seeking an experienced Senior Transactional Business Attorney to join their team. This role will work closely with firm leadership, fellow attorneys, and business owners to provide sophisticated legal counsel and transactional support across a broad range of business matters.

Position Summary

The Senior Transactional Business Attorney will advise business owners and companies on corporate, transactional, financing, governance, and related business matters. The ideal candidate is an experienced deal attorney who enjoys drafting complex agreements, negotiating transactions, solving business problems, and bringing deals to successful conclusions.

This position is best suited for an attorney who is passionate about practicing law and serving clients rather than building a personal book of business or pursuing entrepreneurial ventures.

Key Responsibilities

• Advise business owners on strategic transactional and corporate matters.

• Structure, negotiate, draft, and close mergers, acquisitions, and private company transactions.

• Draft and negotiate operating agreements, shareholder agreements, and other governance documents.

• Counsel clients regarding incentive compensation and equity-based arrangements.

• Advise Delaware entities on corporate governance and compliance matters.

• Structure and document startup and growth-company financings, including SAFEs, convertible notes, and preferred stock financings.

• Counsel clients on securities law compliance in private capital raises.

• Draft and negotiate agreements among investors, founders, and business owners.

• Structure and document joint venture arrangements.

• Communicate complex legal concepts clearly and effectively to clients with varying levels of business sophistication.

• Collaborate with attorneys and staff in a fully remote environment.

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school.

• Active license to practice law in both New York and New Jersey.

• Minimum of five (5) years of experience working directly with business owners on transactional and corporate matters.

• Significant experience with private company acquisitions, corporate governance, operating agreements, incentive compensation arrangements, Delaware corporate law, venture and growth-stage financings, securities law for private offerings, investor and founder agreements, and joint ventures.
