Senior Corporate Counsel

Position Overview:

We are seeking a highly motivated and experienced Senior Corporate Counsel to join our team and provide essential legal guidance on a variety of corporate and business matters.

As Senior Corporate Counsel, you will serve as a key legal advisor to the company’s executive team, Board of Directors, and senior management. You will be responsible for managing corporate governance, compliance, mergers and acquisitions, and other corporate legal matters. This is an exciting opportunity for an experienced attorney to grow and develop in an early-stage company, and play a critical role in the company’s legal and business strategy.

Responsibilities:

• General Corporate Matters:
  • Draft, review, and negotiate various corporate contracts, including commercial, partnership, and vendor agreements.
  • Ensure the company’s legal practices align with its business goals, ethics, and regulatory requirements.
• Corporate Governance & Compliance:
  • Advise senior management and the Board on corporate governance best practices, Board meeting procedures, and SEC filing requirements.
  • Assist in the preparation of SEC filings, including 10-K, 10-Q, 8-K, and proxy statements, ensuring compliance with all applicable securities laws and regulations.
  • Support the implementation of corporate governance policies and procedures, including those related to executive compensation, stockholder relations, and Board composition.
• Securities Law & Public Company Reporting:
  • Oversee compliance with public company reporting obligations and disclosures.
  • Manage insider trading policies, Section 16 filings, and other related securities law matters.
  • Advise on shareholder communications, investor relations, and public offerings.
• Risk Management & Litigation:
  • Identify potential legal risks and advise on strategies to mitigate risk.
  • Manage outside counsel in connection with any ongoing or potential litigation or dispute matters.
• Mergers & Acquisitions:
  • Provide legal support for strategic transactions, including mergers, acquisitions, partnerships, and licensing agreements.
  • Conduct legal due diligence and assist with contract negotiation, structuring, and execution.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Licensed to practice law in California.
• Minimum of 5 - 7 years of experience in corporate law, preferably with exposure to public company matters in the biotech or life sciences industry.
• Experience with mergers and acquisitions, licensing, and compliance matters in the biotech industry is highly preferred.
• Knowledge of securities laws (including SEC regulations), corporate governance, and public company reporting requirements.
• Excellent communication, negotiation, and interpersonal skills, with the ability to interact with executives, Board members, and external stakeholders.
• Ability to manage multiple projects simultaneously and thrive in a fast-paced, high-pressure environment.
• Strong problem-solving skills and a practical, business-focused approach to legal issues.
• Experience in regulatory matters related to the biotech industry.

Salary

• $250,000 - $270,000
