Job Description


Trueline's client, a top-tier national law firm with a strong corporate practice, is seeking a Corporate Paralegal to join their team in Atlanta, GA. This role supports a fast-paced M&A group and offers the opportunity to work on complex corporate transactions while building deep expertise in corporate governance and filings.

What You'll Do as the Corporate Paralegal:

  • Prepare and file a range of corporate documents, including entity formations, amendments, mergers, conversions, and dissolutions
  • Manage corporate governance records, including minute books, stock ledgers, and ownership documentation
  • Handle state and federal filings such as annual reports, fictitious name registrations, and IRS forms (EINs, S-elections)
  • Support M&A transactions by organizing due diligence materials, maintaining data rooms, and tracking closing deliverables
  • Conduct UCC, lien, litigation, and bankruptcy searches and assist with related filings
  • Coordinate disclosure schedules, closing checklists, and transaction documentation
  • Collaborate with attorneys and internal teams to ensure timely and accurate execution of corporate matters

Must-Haves as the Corporate Paralegal:

  • 3+ years of corporate paralegal experience in a law firm environment
  • Strong knowledge of corporate governance, filings, and transactional support
  • High attention to detail with the ability to manage multiple priorities and deadlines
  • Solid technical skills with experience reviewing and analyzing legal and transactional documents
  • Clear and professional written and verbal communication skills

Nice-to-Haves as the Corporate Paralegal:

  • Experience supporting M&A transactions in a mid-to-large law firm setting
  • Familiarity with data room platforms and due diligence processes
  • Proactive mindset with the ability to anticipate issues and problem-solve independently
