Candidate will serve as the Company’s primary information technology, data privacy and cybersecurity lawyer, providing advice and legal support to the Company on legal matters related to privacy, cybersecurity, data protection and technology-related matters across UGI’s business units, with a primary focus on applicable United States (‘US”) laws and regulations. Candidate should also have some experience in corporate and commercial law to be able to support our business objectives and strategies. Provide legal support and assistance to enhance the Company’s overall Compliance, Data Privacy, and Information Technology programs. In addition, given the increased emphasis on the use of Artificial Intelligence, this role will be responsible for all legal matters relating to AI, including the drafting and review of policies, procedures and guidance relating to the use of AI and ensuring compliance with applicable regulations and industry standards and the Company’s policies and procedures.
- Provide practical, timely, strategic, and high-quality legal counsel on global privacy, data security, data protection and technology related matters across UGI’s business and corporate functions with a primary focus on the United States.
- Provide legal advice on business transactions, corporate and commercial matters and contract review that support business objectives and strategies particularly with respect to global privacy and cybersecurity.
- Advise on potential liability and other legal aspects related to data privacy and data security incidents and supporting the Company's privacy and cybersecurity incident response programs, including supporting the investigation of potential incidents, identifying applicable legal obligations, and supporting incident response efforts.
- Advise on best practices and compliance with U.S. data protection laws, as well as overseeing legal and regulatory aspects of data collection and use, privacy disclosures and transparency, and related issues.
- Advise on information technology legal matters and draft and review key IT contracts.
- Collaborate with the Company’s DPO to support the planning, design, development, implementation, maintenance of, and adherence to a comprehensive global privacy plan.
- Collaborate with the Company’s Compliance function for all related compliance matters.
- Assist the Company’s Procurement Legal team in the strategic reviewing, drafting, and negotiating of privacy and data security terms in contracts with business partners and vendors, including data processing agreements and data transfer agreements.
- Conduct training on data privacy and security to increase employee awareness and understanding of Company privacy policies, data handling practices and procedures and legal obligations.
- Participate in the drafting of policies and procedures relating to data privacy, the use of AI and the governance of personal data and AI-related matters and compliance with applicable requirements.
- Counsel relevant stakeholders on the response to information incidents and data breach response.
- Advise on data governance strategies (retention, use policies, inventories, mapping) and provide assistance to individuals on the Company’s record retention guidelines.
- Oversee and provide updates to senior management and business clients on changes in legal developments in the area of data protection, cybersecurity, data governance, privacy, and artificial intelligence.
- Knowledge of U.S. Federal and state laws and regulations regarding privacy, data security and AI governance.
- Basic level of knowledge of GDPR requirements preferred.
- Experience drafting and negotiating privacy and cybersecurity provisions in contracts and commercial transactions.
- Seasoned judgment, effective communication, and demonstrated ability to identify and resolve issues proactively.
- Strong ability to grasp legal issues quickly, strong analytical problem solving and decision-making skills, exercise sound judgment and provide practical and constructive legal advice.
- Ability to communicate legal issues in a clear and understandable manner.
- Ability to manage large workload, multi-task, focus on critical priorities, and otherwise effectively meet client needs.
- Ability to work both independently and as part of a team. Team player and able to build relationships, both internally and externally, on a global scale.
- Accredited Law School (Juris Doctor).
- 6+ years of relevant legal experience, including in-house experience (preferably public company).
- Active membership in at least one U.S. State Bar.
