
As the Assistant General Counsel, you will support the Deputy General Counsel during a period of transformation for the company.
Daily, you will be responsible for helping to support M&A transactions and corporate governance while providing business-minded legal counsel to our business partners.

As the Assistant General Counsel, you will work closely with our C-suite and other corporate functions, including Finance, Tax, IT, and Operations.
Here’s what you will experience as the Assistant General Counsel:
- Assist in all areas of M&A transactions, including drafting, reviewing, and negotiating NDAs, letters of intent, engagement letters, principal transaction documents, disclosure schedules, and ancillary transaction documents
- Spearhead legal due diligence and coordinate with other business/specialist areas as needed throughout the due diligence process
- Provide legal support to other M&A workstreams, including debt financing and insurance
- Support corporate governance, including managing the corporate organizational structure, ensuring compliance with corporate legal requirements, monitoring compliance with governance documents, and coordinating corporate governance matters with Legal Team members in India and the Philippines
- Providing support to R1 Finance team for audited financials as requested
- Providing support to General Counsel and Deputy General counsel for Board-related matters as requested
Required Qualifications:
- Law degree and member in good standing of a State Bar with at least five (5) years of in-depth M&A (ideally PE-backed) experience
- Exposure to and familiarity in any of the following areas of law is a plus: technology, intellectual property, healthcare, healthcare technology, business process outsourcing, federal and state privacy and data protection laws, and securities laws.
- Exceptional writing, communication and analytical skills with attention to detail.
- Demonstrated ability to manage competing priorities in a fast-paced demanding environment.
- Willingness to learn the Company’s business and build strong relationships with internal stakeholders.
- Sound business judgment in finding the right balance between legal risks and business goals.
- Limited travel expected (less than 10%).
- This position can be performed remotely, but the ability to work in-office in Chicago, Illinois, or other R1 locations will be available and is encouraged.
