Job Description

 

Position Overview: The Executive Vice President, General Counsel & Corporate Secretary serves as the chief legal officer of the organization, providing strategic legal advice and oversight to the Board of Directors and executive management. This role encompasses managing all legal affairs, ensuring compliance with regulations, and serving as the Corporate Secretary to the Board.

Key Responsibilities:

  1. Legal Oversight:

    • Provide comprehensive legal guidance on corporate governance, regulatory compliance, mergers and acquisitions, intellectual property, contracts, and litigation.
    • Oversee the company’s legal strategy and risk management processes.
  2. Corporate Governance:

    • Act as Corporate Secretary, managing Board of Directors meetings, maintaining corporate records, and ensuring compliance with corporate governance policies.
    • Prepare agendas, minutes, and resolutions for Board meetings.
  3. Regulatory Compliance:

    • Monitor changes in laws and regulations that may impact the company and ensure timely compliance.
    • Develop and implement compliance programs and training for employees.
  4. Litigation Management:

    • Manage all aspects of litigation and dispute resolution, including overseeing outside counsel and representing the company in legal proceedings.
  5. Stakeholder Communication:

    • Serve as the primary legal point of contact for internal and external stakeholders, including regulators, shareholders, and partners.
    • Communicate complex legal concepts in a clear and concise manner to non-legal audiences.
  6. Strategic Leadership:

    • Collaborate with senior management to align legal strategies with business objectives.
    • Advise on strategic initiatives, business development opportunities, and risk assessment.
  7. Team Management:

    • Lead and develop the legal department, fostering a culture of excellence and professionalism.
    • Mentor and support junior legal staff and other team members.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the bar in [State/Country].
  • Minimum of [X] years of legal experience, with significant exposure to corporate law and governance.
  • Previous experience in a senior legal role within a corporate setting is highly preferred.
  • Strong understanding of corporate governance principles and best practices.
