 As an EVITP (Electric Vehicle Infrastructure Training Program) certified turnkey engineering, procurement, and construction (EPC) firm, we leverage our in-house expertise to efficiently manage and execute large-scale projects. Our dedication to sustainability and quality extends beyond project completion; we also provide comprehensive operation and maintenance services to ensure optimal performance for the projects we develop, as well as for third-party installations.

Position Overview: We are seeking an attorney with a minimum of 5 years of experience in business and corporate matters to provide comprehensive legal support for our organization as General Counsel. The ideal candidate will be responsible for overseeing all legal matters, including but not limited to contracts, employee relations, corporate governance, litigation, and tax-related issues. The General Counsel will serve as a trusted advisor to the executive team, ensuring that all legal practices align with our business objectives and ethical standards.

Key Responsibilities:

  • Provide expert legal advice on a wide range of issues, including contracts, employment law, corporate governance, compliance, and risk mitigation.
  •  Draft, review, and negotiate a broad array of contracts and agreements, including vendor agreements, construction contracts, NDAs, licensing, and partnership agreements.
  • Establish contract management processes to ensure consistency and reduce legal exposure.
  • Oversee corporate governance across all business units, ensuring compliance with federal, state, and local regulations.
  • Maintain corporate records, oversee entity management across multiple states, and ensure timely filings.
  • Develop and implement company-wide policies, procedures, and compliance programs to mitigate legal and operational risk.
  • Lead compliance initiatives related to EV infrastructure, renewable energy regulations, environmental requirements, and industry-specific standards.
  • Advise on and manage employee relations matters, including employment agreements, disputes, disciplinary actions, wage-and-hour compliance, and internal investigations.
  • Support HR in creating and updating policies, handbooks, and training materials.
  • Advise on tax-related matters and coordinate with external tax advisors to address tax compliance, liabilities, incentives, and strategic planning.
  • Assist with legal considerations related to financial transactions, audits, and long-term business planning.
  • Represent the company in legal proceedings and negotiations, liaising with outside counsel when necessary.
  • Oversee dispute resolution, claims management, and litigation strategy.
  • Identify potential legal risks across operations and recommend proactive mitigation strategies.
  • Provide legal insight to support strategic business decisions, including new market entry, mergers/acquisitions, and large-scale project negotiations.
  • Collaborate closely with executive leadership, operations, finance, HR, and project management teams.
  • Conduct legal training sessions for employees to promote understanding of legal obligations and reduce risk exposure.
  • Monitor changes in legislation, industry standards, and regulatory requirements that may impact the company’s operations or strategic direction.
  • Provide timely updates to management and recommend appropriate adjustments.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in California.
  • Minimum of 5 years of experience in a corporate legal department or law firm, with a focus on contracts, employment law, and corporate governance.
  • Strong understanding of corporate, tax, and labor laws.
  • Excellent negotiation, analytical, and problem-solving skills.
  • Ability to communicate complex legal concepts clearly and concisely.
  • Proven ability to work independently and collaboratively in a fast-paced environment.
  • Strong ethical standards and a commitment to maintaining confidentiality.
