Obsidian is looking for a highly skilled and experienced Assistant General Counsel to be the second person on the legal team. You will play a pivotal role in providing expert legal advice and guidance on a wide range of legal issues. Your primary focus will be on  supporting all go to market activities globally, including drafting, reviewing, and negotiating complex commercial technology agreements, assessing potential risks, and ensuring compliance with relevant laws and regulations. You will collaborate closely with internal stakeholders, including senior executives, salespersons, and various departments, to support our business objectives while safeguarding the company. This position will be remote based in the eastern US, or willing to work US Eastern time, and will report to the Chief Legal Officer.

Responsibilities:

  • Draft, review, and negotiate a variety of commercial technology agreements with customers, partners and vendors.
  • Advise internal stakeholders on legal matters including contracts, data privacy and security, and intellectual property.
  • Collaborate with cross-functional teams to provide legal support and guidance on various business initiatives, product launches, and strategic partnerships.
  • Develop legal processes and implement legal systems, including AI-based tools, to enhance company-wide efficiency and mitigate risks.
  • Stay informed about changes in laws and regulations, industry trends, best practices, and emerging legal issues that may impact the organization.
  • Conduct internal training and develop educational materials to enhance legal awareness within the organization.
  • Assist with HR matters, resolving disputes, litigation, and other legal matters as they arise.
  • Manage external legal counsel and other service providers as needed.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school and current bar admission.
  • Minimum of 10+ years of relevant experience as a commercial technology counsel, preferably in a corporate environment or law firm.
  • In-depth knowledge of software and SaaS contracting, contract law, intellectual property, and global data privacy regulations.
  • Proven experience in drafting and negotiating complex commercial agreements with a keen attention to detail.
  • Strong analytical and problem-solving skills, with the ability to assess risks and provide practical solutions.
  • Excellent communication skills, both written and verbal, with the ability to communicate complex legal concepts effectively.
  • Demonstrated ability to collaborate and build strong relationships with internal stakeholders at all levels of the organization.
  • Ability to work independently and manage multiple projects simultaneously in a fast-paced environment.
  • Sound business judgment and the ability to balance legal considerations with commercial objectives.
  • High ethical standards and a commitment to maintaining confidentiality.

Pay Transparancy

Please note that the base pay range is a guideline and for candidates who receive an offer, the base pay will vary based on factors such as work location, as well as the knowledge, skills and experience of the candidate. In addition to a competitive base salary, this position is eligible for equity awards and may be eligible for sales commission or incentive compensation based on the role or function within the company.
