Job Title:  Senior Legal Analyst

A little bit about our team:

We are responsible for overseeing, drafting and negotiating mergers and acquisitions (M&A), investment and joint venture agreements, corporate vendor and technology  agreements (consulting, SaaS, licenses, etc.).  We are also responsible for overseeing and managing our corporate entities globally and providing legal support and input on real estate related matters.  We provide advice and counsel on these matters and related corporate legal matters.

Your role:

Assisting with entity management and oversight. Under the supervision of an attorney, review non-disclosure agreements and vendor agreements. Independently lead, participate and/or work with a team on day- to- day vendor engagement issues, acquisitions and investments, including diligence and post-closing integration and related matters for acquisitions and investments. Interest in learning more about the law and the legal process is strongly desired.   

Here you’ll get to:

Under the supervision of an attorney and/or in consultation with legal counsel perform the following:

  • Assisting with project management for acquisitions, divestitures, reorganizations and other team initiatives

  • Work closely with attorneys to assist in due diligence and other legal tasks related to Assisting with corporate organizational aspects of acquisitions, divestitures and reorganizations.

  • Respond on a timely basis to inquiries on non-disclosure agreements, including review, drafting and negotiation of terms.

  • Prepare summaries of non-disclosure agreements and investments and manage the tracking of those agreement terms.

  • Assisting with entity management and oversight.

  • Preparing corporate filings on a periodic basis, including periodic state and local corporate reporting requirements, filings, registrations and maintenance.

  • Assisting with annual officers and board consents.

  • Support the attorney as needed concerning the negotiation, interpretation, requirements, terms and limitations of when negotiating comments on non-disclosure agreements and vendor agreements, sometimes with the assistance of outside attorneys.

  • Collaborate with other departments within the organization to ensure a smooth and efficient legal process

  • Involvement in issues/projects periodically as requested by lawyers in the group.

  • Support and assist in department initiatives.

 

About you:

  • Ability to read and understand basic contracts and agreements and willingness to expand that knowledge on more complex agreements and transactions

  • Experience managing and organizing information and processes 

  • Experience handling and managing large projects

  • Excellent time-management, organization and execution skills and ability to track multiple projects and deadlines

  • Excellent analytical, verbal and written skills

  • Extremely detail oriented

  • Someone who demonstrates an active desire to learn and is proactive in taking the lead on assignments and tasks

  • Reliable and dedicated to seeing projects through from inception through completion

  • Enthusiastic, motivated, friendly, team player that enjoys working with a wide variety of people from various professional backgrounds and who can work effectively both independently and in groups

  • Someone who conducts himself or herself in the highest ethical manner

  • Proficient in Google Workspace and related applications

  • Exhibits highest level of professionalism

  • Ability to handle confidential matters with discretion and judgment

  • Willingness to learn and draft various other corporate contracts under supervision of an attorney (i.e., nondisclosure and confidentiality agreements, vendor agreements, etc.).

  • Sense of humor and interest and/or experience in the music or entertainment industry a plus

We’d love it if you also had:

  • Bachelors degree.

  • 4+ years of experience as a legal analyst, contract administrator, paralegal or similar role, with a focus on any or multiple of legal entity management, vendor (particularly technology) contracts, and/or M&A and investments 

  • Project management experience a plus, but not required.

Effective October 1st 2023,  this position will require being in the office 4 days a week.  We believe that an in-office presence is critical for talent development, collaboration and building strong relationships.

Salary Range$75,000 to $85,000 AnnuallySalary ranges are included for job postings where required by law. The actual base pay is dependent upon many factors, such as work experience and business needs. The pay range is subject to change at any time dependent on a variety of internal and external factors.
