Core Responsibilities:

  • Provide legal counsel and support on a broad range of legal issues related to health law compliance, corporate governance, mergers and acquisitions, employment law, and business litigation.
  • Consistent exercise of independent judgment and discretion in matters of significance.
  • Oversee the completion of projects including planning, assigning, monitoring, reviewing progress and accuracy of work, and evaluating results.
  • Assist in due diligence for domestic and international mergers and acquisitions.
  • Work with business counterparts, both domestically and internationally, to identify and provide advice regarding legal risks and issues.
  • Assist executive management with other legal needs of the company as necessary and contribute to the overall legal function of an international company.
  • Develop a thorough understanding of and familiarity with the company's business, its people, products, technology, markets, customers and competitors in order to assist the company in meeting overall business objectives;
  • Provide training and make presentations to company personnel regarding legal issues;
  • Perform legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue or case.
Requirements

 

Qualifications:

  • In good standing with a state bar, with ability to register as Pennsylvania In-House Counsel.
  • Excellent negotiating, drafting, problem solving and communications skills.
  • Integrity, excellent legal judgment and business acumen, and strong leadership skills;
  • Able to concisely communicate complex legal issues and make recommendations to corporate and executive management on various legal issues;
  • Ability to work effectively with management and operations personnel, simultaneously manage multiple projects, and meet deadlines with consistently high quality work product.
  • Experience managing and working with external resources, including law firms and consultants.
  • Ability to work independently on a wide variety of tasks in a proactive manner.
  • Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks;
  • Experience with health law, including Medicare Part B reimbursement, HIPAA, and other privacy regulations a plus.
