Position Summary:
The purpose of this position is the management of investment structure charts and corporate entities in compliance with the corporate regulations of applicable jurisdictions to support the investment activities of the Lone Star Funds. This position will also assist the Legal Department in its efforts to ensure that the Lone Star Funds, Hudson, and their affiliates are in compliance with other applicable federal, state, and international rules and regulations.
Essential Functions:- Creation and maintenance of investment and organizational structure charts in PowerPoint and Visio.
- Read and understand capitalization/structure charts and effectively communicate structure changes to others.
- Formation and management of corporate entities in the United States and other jurisdictions as assigned.
- Assist Legal personnel with the drafting and execution of bylaws, limited liability company agreements, limited partnership agreements, resolutions, and related agreements.
- Organize annual general and other meetings and prepare meeting minutes in connection with ongoing corporate governance.
- Organize and maintain entity minute books and other corporate records.
- Update and maintain Hudson’s Global Entity Management System (GEMS) database to reflect any relevant corporate activity in assigned jurisdictions.
- Support deal teams by compiling and submitting know-your-customer (KYC) information to counterparties, banks and outside advisors.
- Facilitate the appointment and payment of Service of Process agents as requested.
- Liaise with Legal, Advisory, and Tax teams to maintain GEMS and structure charts with accurate information related to all Hudson and client entities.
- Ensure that entity documents and structure charts are maintained in accordance with records retention plan.
- Serve as back-up to professionals managing entities in other jurisdictions.
- Perform ad hoc and special projects as assigned.
Required Knowledge, Skills and Abilities:
- Significant experience responding to know-your-customer (KYC) queries.
- Demonstrated ability to prepare, read, and understand capitalization/structure charts.
- Strong interpersonal skills and ability to adapt to differing personalities and management styles.
- Excellent oral and written communication skills and listening skills to communicate clearly and concisely with both lawyers and non-lawyers.
- Ability to work autonomously and as a member of a team.
- Strong attention to detail (including excellent cross-checking skills) and ability to develop and maintain high quality work product.
- Demonstrated analytical and problem solving ability.

- Bachelor's or Associate’s Degree preferred.
- Certificate program in paralegal studies preferred.
- 7-10 years of legal experience with a law firm or in-house legal department or family office.
- Proficiency in Visio.
- Proficiency in Microsoft Office Suite (Outlook, TEAMS, Word, Excel, and PowerPoint).
- Proficiency with DocuSign and other electronic signature applications.
- iManage experience preferred.
- Proficiency in Adobe Acrobat.
- Proficiency in GEMS or another entity management database system preferred, but not required.
- Proficiency utilizing AI or similar technology preferred, but not required.
- This role is hybrid environment
- Training will be on-site
- Willing to work on-site as needed
- This position operates in a professional office environment 5-days per week.
- This role’s working hours vary depending on business activity.
- This position does not require frequent travel.
