Job Summary
Working under the direction of the Senior Corporate Counsel, and in collaboration with the General Counsel of GAF, the Corporate Counsel is responsible for providing business-minded legal advice to colleagues across functions for a variety of corporate and commercial matters affecting GAF's operations. This position is located in Parsippany, NJ, which is approximately thirty (30) miles from New York City.
Essential Duties
Draft and negotiate all types of commercial contracts including: supply chain and distribution agreements, manufacturing agreements, vendor/sales agreements, technology contracts, IP licenses and other R&D agreements, services and consulting agreements, construction contracts and NDAs
Provide advice on the interpretation of contracts, laws and regulations
Identify and resolve contractual disputes with third-parties prior to the initiation of litigation
Review marketing and promotional materials
Improve upon existing forms and establish new forms to support business initiatives
Partner with other legal experts in specialized areas as necessary, including intellectual property, real estate, litigation and environmental
Develop and provide training related to commercial law matters to management and various other GAF colleagues
Qualifications Required
J.D. with strong academic record Required
4+ years of experience at a major law firm; in-house legal experience a plus but not required
Member in good standing of the New Jersey state bar or any state bar that would enable admission to practice as in-house counsel in New Jersey
Experience handling both complex commercial transactions and ordinary course contracts
Fluency with the standard practices, concepts and procedures of contracts and general business and corporate law
Ability to clearly and accurately identify legal issues, place them in business context and communicate actionable legal counsel to non-lawyer business stakeholders
Plain speaking, practical approach to rendering advice and working with others to meet goals and objectives
Excellent business judgment and ability to assess legal risk while also thinking strategically and providing practical advice
Qualifications Preferred
Self-motivated, with the ability to work efficiently both independently and in a team environment
Able to handle and prioritize a large volume of work and juggle multiple matters simultaneously
Comfort handling complex negotiations
Maintain strict confidence and discretion, and possess a friendly and professional demeanor in all aspects of work duties
Comfort leading large cross functional teams on complex projects
Strong written and verbal communication skills with the ability to adapt depending on the audience
Advanced organizational skills with an eye for detail
