Job Description

Overview: The Staff Attorney will be responsible for providing general corporate and legal analysis and advice relating to regulatory and compliance matters, HIPAA/privacy law, and technology business transactions. Under the direction of the Deputy General Counsel, this role will also perform risk assessments related to proposed initiatives, corporate activities and industry developments.  This position is also a resource to others in the Legal and Compliance Department and works closely with internal business clients on both compliance and contractual matters.

Duties and Responsibilities:

  • Draft and review standard corporate and commercial documents for senior counsel review including, but not limited to master service agreements, non-disclosure agreements, amendments, vendor contracts and contract extensions;
  • Under the direction of the Deputy General Counsel, provide counsel regarding corporate transactions, regulatory matters, commercial contracts and company policies, procedures and guidelines;
  • Under the direction of the Deputy General Counsel, negotiate with external customers on vendor and client contracts, business associate agreements and other commercial transactions.
  • Working with Inovalon’s Legal team, this role assists with management of commercial, intellectual property, corporate maintenance and other legal matters;
  • Collaborate cross-functionally with the Legal, Business, Product and Finance teams as well as other internal business stakeholders;
  • Review legal correspondence and prepare draft responses and memoranda regarding such matters;
  • Conduct legal research for the Legal Department on federal and state healthcare laws, Medicare and Medicaid compliance requirements, commercial market concerns and other legal frameworks;
  • Take on additional assignments and responsibilities as business needs dictate;
  • Maintain compliance with Inovalon’s policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Company.

Job Requirements:

  • A minimum of two (2) years of experience working at a law firm, corporate legal department or similar environment; 
  • Strong business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks;
  • Knowledge of business and corporate law and experience with commercial disputes;
  • Familiarity with legal issues relating to commercial law, privacy and alternative dispute resolution;
  • Conscientious and detail-orientated;
  • Excellent oral and written communication skills;
  • Ability to work in a fast-paced and dynamic environment;
  • Strong research and analytical skills; and,
  • Team player and willingness to contribute wherever needed.

Education:

  • J.D. degree from an accredited law school and licensed to practice law in any US state or D.C.

Physical Demands and Work Environment:

  • Sedentary work (i.e., sitting for long periods of time);
  • Frequently or constantly lift, carry push, pull or otherwise move objects and repetitive motions;
  • Subject to inside environmental conditions; and
  • Travel for this position is expected to be less than 5%, typically for training purposes.
