Job Description

We are seeking a seasoned and highly motivated Business and Transactions Attorney to join our Sioux Falls, South Dakota office and overall practice area team. The ideal candidate will demonstrate an entrepreneurial spirit, a curious and inquisitive mindset, and exceptional attention to detail. This role involves providing strategic legal counsel to clients across a broad spectrum of industries related to business matters, including risk management, contract review, governance, mergers and acquisitions, entity formation, and compliance.

 

Key Responsibilities

  •  Collaborate with clients to develop tailored legal strategies aligned with their business goals and needs through risk-based analysis and assessments.
  • Research and interpret applicable laws, regulations, and industry standards to ensure client compliance.
  • Draft, review, and negotiate a variety of agreements (such as contracts with customers, vendors, and other third parties), operating agreements, ownership and equity agreements, and employment agreements.
  • Advise clients on a range of corporate legal matters, including entity selection and formation, corporate governance, and compliance.
  • Provide strategic legal guidance during mergers, acquisitions, divestitures, and other transactions.
  • Manage multiple client matters simultaneously while maintaining high-quality service and meeting deadlines.
  •  Supervise paralegals, staff, and team members as required 
  • Active in business development, including involvement in professional organizations.
  • Other duties as assigned. 

Experience

• Minimum of 5 years of relevant in-house and/or law firm experience as a business and transactional attorney, 10 years’ experience preferred

 

License(s)/Certification(s)

  • Must be currently licensed in South Dakota or eligible to become licensed.
  • Other state licenses (especially in states within our footprint) while not required, will be considered.
  • Valid drivers license.

  • Demonstrated expertise in drafting and negotiating various contracts and agreements.
  • Strong entrepreneurial mindset with the ability to approach legal issues from a business perspective.
  • Exceptional research, analytical, and problem-solving skills.
  • Outstanding written and verbal communication abilities.
  • Proficiency in managing competing priorities and working independently.
