What You’ll Do

The General Counsel & Chief Compliance and Privacy Officer for MedWatch, LLC, a wholly owned direct subsidiary of Health Plans, Inc. (HPI), will be responsible for building strategic and comprehensive legal, compliance, and privacy programs that develop, implement, and maintain policies, procedures, processes, and programs that enable consistent, effective compliance and privacy practices, reduce legal risk, and ensure company operations remain within applicable legal and regulatory obligations.

This role will be an employee of HPI and will report directly to the General Counsel and Corporate Secretary of Health Plans, Inc. 

Work Location: This position is primarily remote. Candidates should expect occasional travel, approximately 4 to 6 times per year, to company locations and meetings in Massachusetts and/or Florida.

The General Counsel & Chief Compliance and Privacy Officer will:

  • Ensure compliance and adherence to applicable laws, regulations, and accreditation standards.
  • Minimize organizational legal and regulatory risk.
  • Ensure the confidentiality and protection of Protected Health Information (PHI).
  • Promote a culture of compliance and adherence throughout the organization.
  • Provide legal guidance with foresight and serve as a resource for MedWatch senior leadership and departments heads, to minimize exposure to legal, privacy, regulatory or accreditation risks. 
  • Review documents, agreements, and contractual obligations while providing guidance on legal risk mitigation and regulatory compliance.

In this role, you'll also:

  • Lead and oversee the development, implementation, and ongoing monitoring of MedWatch's legal, compliance, and privacy programs.
  • Evaluate, draft, negotiate and manage corporate contracts with vendors, client/ groups and third parties including Master Service Agreements (“ASAs”) and related documents
  • Analyze client, vendor, and other third-party requests for disclosure of PHI and determine appropriate privacy safeguards, including Business Associate Agreements (BAAs), Non-Disclosure Agreements (NDAs), and other privacy-related agreements.
  • Manage all matters of potential or actual litigation (including employment and EEOC disputes) with the HPI General Counsel and the designated human resources professionals. 
  • Review, draft, negotiate, and maintain privacy-related agreements and associated records.
  • Develop, implement, review, update, and maintain privacy-focused policies, procedures, processes, and programs.
  • Monitor changes in privacy laws and regulations and implement updates to ensure compliance.
  • Advise the organization regarding legal, regulatory, and compliance requirements related to privacy.
  • Develop, implement, review, update, and maintain compliance-focused policies, procedures, processes, and programs, including those required to support accreditation standards and demonstrate a robust compliance program.
  • Maintain current knowledge of applicable laws, regulations, and accreditation requirements and implement program enhancements as needed.
  • Advise leadership and business partners regarding legal, compliance, accreditation, and regulatory obligations.
  • Manage the development, delivery, and completion of legal, compliance, privacy, and accreditation training programs.
  • Review and update training materials and deliver specialized education designed to mitigate organizational risk.
  • Chair the MedWatch Compliance Oversight Committee.
  • Provide regular updates and reports to senior leadership on compliance and privacy initiatives, regulatory changes, and risk mitigation efforts.
  • Develop and maintain an annual Compliance Oversight Committee work plan.
  • Recommend policy, process, and program improvements to support compliance and risk reduction objectives.
  • Coordinate and oversee all workflow involving outside legal counsel, including collaboration with Human Resources when appropriate.
  • Manage outside counsel relationships and related legal expenditures.
  • Conduct and/or participate in annual privacy, security, and compliance risk assessments and ongoing monitoring activities.
  • Participate in internal and external audits related to privacy, security, accreditation, and compliance requirements.
  • Oversee corrective action planning and implementation related to audit findings and compliance activities.
  • Receive, document, track, investigate, and resolve reports of privacy incidents, compliance concerns, complaints, and accreditation-related matters.
  • Conduct risk assessments related to reported incidents and ensure appropriate reporting obligations are met.
  • Perform additional duties and special projects requiring legal, compliance, accreditation, or privacy expertise as assigned by the General Counsel and Corporate Secretary of Health Plans, Inc.

What You Bring

  • Bachelor's degree is required.
  • Juris Doctor (JD) is required.
  • Admission to the Bar in one or more states where the Company conducts business.
  • Ten or more years of experience in healthcare, privacy, legal, and compliance matters.
  • Strong knowledge of healthcare regulatory requirements, privacy laws, compliance frameworks, and risk management practices.
  • Demonstrated experience developing and leading compliance and privacy programs.
  • Excellent contract drafting, review, negotiation, and legal analysis skills.
  • Strong leadership, communication, presentation, and relationship management skills.

Bonus points if you have experience with:

  • CIPP, CIPM, CHC, or CHPC certification.
  • Utilization Review Accreditation Commission (URAC) accreditation matters.
  • Service Organization Controls (SOC) reporting and audits.
  • Healthcare, managed care, health insurance, or related regulated industries.
