We provide senior loans, unitranche loans and junior capital in addition to co-investments in equity securities. We source opportunities directly from financial sponsors throughout North America, investing in leveraged buyouts, acquisition financing and debt recapitalizations. POSITION SUMMARY:

Audax Private Debt seeks an experienced attorney to serve as Fund Counsel. This individual will play a key role in supporting Audax Private Debt’s fund formation, operations, and strategic growth initiatives. The position combines legal, operational, and business responsibilities, requiring someone who can operate with significant independence and sound judgment in an entrepreneurial environment to help facilitate Audax Private Debt’s continued growth.

The ideal candidate is collaborative, commercially minded, and will be empowered to add value beyond traditional legal execution.  This individual will serve as a trusted legal advisor and thought partner to investment, investor relations, and business management teams, and will interact regularly with the firm’s limited partners.

 

RESPONSIBILITIES:

  • Collaborate alongside the firm’s stakeholders on strategic initiatives, in a hybrid role that spans both business and legal functions
  • Act as a key liaison between Legal, Finance, Tax, Operations, Investor Relations, and Compliance teams, ensuring efficient coordination across business functions
  • Lead and oversee outside counsel in drafting and negotiating fund documentation
  • Collaborate with outside counsel to create new structural solutions for investment products based on the needs of the firm and its key limited partners
  • Partner with Investor Relations and senior management to formulate terms and product positioning
  • Negotiate directly with lead institutional investors and key stakeholders to support fundraising and relationship management objectives
  • Manage updates to existing fund documentation and coordinate amendments across investor relationships
  • Review and negotiate placement agent agreements and other service provider contracts
  • Partner with key internal stakeholders to facilitate structuring and execution of limited partner and third-party co-investments
  • Provide pragmatic, business-oriented legal advice on fund formation and compliance matters
  • Support investment professionals regarding fund financing facilities and select transaction execution matters (including 40 Act analysis)

REQUIREMENTS/QUALIFICATIONS:

  • Law degree required; ability to practice in-house in a position based in New York
  • At least 4-7+ years of relevant investment funds, finance, mergers & acquisitions, securities or corporate experience required (with an emphasis on investment funds practice)
  • Prior in-house experience at a leading private credit or other alternative asset management firm is preferred; prior experience at a leading corporate law firm is required
  • Demonstrated ability to operate independently and manage complex legal and business issues
  • Experience interacting directly with institutional limited partners and investors preferred
  • Experience with a range of private debt investment structures and products (private funds, separate accounts, funds of one, and BDCs)
  • Familiarity with SEC regulation of private fund advisers and related compliance framework
  • Exceptional analytical, writing and speaking skills, as well as advanced organizational and planning skills
  • Strong interpersonal skills and ability to work with various levels of personnel

For New York City Only: The base salary range for this position is $250,000 to $400,000. The base salary range represents the estimated low and high end for this position at the time of this posting. Consistent with applicable law, compensation may vary and will be determined based on but not limited to, the skills, qualifications, and experience of the applicant along with the requirements of the position, and Audax reserves the right to modify this pay range at any time. An employee may also be eligible for annual discretionary incentive compensation based on performance.
