Q2 is seeking a Senior Corporate Counsel, Securities that will support the Q2 Legal team in a broad range of complex legal matters for Q2, including assisting with managing legal, compliance and regulatory issues for a complex, publicly traded financial technology company. The Senior Corporate Counsel, Securities position will serve as an ideal launch pad for a securities attorney who aspires to develop the breadth of in-house legal skills and experience necessary to become a successful general counsel. The Senior Corporate Counsel, Securities will serve as the primary legal advisor for Q2’s investor relations and public disclosure efforts, while also contributing across a wide variety of other legal focus areas for the Q2 Legal team. The Q2 Legal team is ethical, fast-paced, collegial and professional, and provides pragmatic, business-savvy legal solutions to empower Q2’s business units to meet their goals in a timely, effective and compliant manner. The Senior Corporate Counsel, Securities position will reside in Q2’s Legal team and report directly to the Deputy General Counsel.
Responsibilities
Primary
- Serve as Q2’s legal advisor on securities law and securities exchange compliance, including the Securities Act, Securities Exchange Act, Dodd-Frank Act, NYSE rules and applicable FINRA regulations.
- Serve as primary in-house legal advisor overseeing and managing all securities-related filings, including annual and quarterly reports, Form 8-Ks, proxy statements, and other disclosure documents required by the SEC, NYSE and relevant regulators.
- Serve on Q2’s disclosure committee and advise management on the design, improvement and enforcement of disclosure controls and procedures.
- Assist the General Counsel and Deputy General Counsel in coordinating with executive leadership and the board of directors to ensure compliance with governance standards, stockholder communications and public disclosure obligations, and with other aspects of the Corporate Secretary function.
- Provide team legal support on M&A transactions, including due diligence, negotiation and guidance on securities laws and regulations relevant to deal structuring and execution.
Additional
- Negotiate and draft a broad range of commercial contracts to support business functions across Q2, including product, business development (channels), IT, security, compliance, marketing, accounting and finance, advising management on contract status, legal risks and business terms of transactions.
- Counsel internal teams based on a strong understanding of legal and regulatory frameworks and industry standards applicable to Q2’s services, including emerging technology issues.
- Enforce and improve business processes for support, negotiation, approval, and execution of non-customer commercial contracts.
- Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes, and offer appropriate solutions to complex legal questions.
- Assist with integration of operations of acquired entities.
- Review company programs and materials to ensure compliance with legal requirements.
- Support and manage (as applicable) the investigation of, responses to, and settlement and resolution of third party claims and litigation.
- Develop, enforce and train on company legal and corporate governance policies to ensure continued compliance in a complex and dynamic regulatory environment.
- Contribute to other Legal team goals and initiatives as needed; the Corporate Counsel will be provided with ample opportunities to support and manage the much broader range of ongoing in-house legal matters for Q2.
Experience And Knowledge
- J.D. and bachelor's degrees from U.S. accredited institutions
- Bar membership in at least one U.S. jurisdiction
- 4+ years of post-J.D. experience with a large law firm or corporation, with a corporate and securities focus.
- Ability to embrace and adhere to the Q2 guiding principles
- Demonstrated ability to prioritize in a fast-paced environment, with the ability to adjust quickly to changing work priorities
- Ability to develop innovative solutions to legal issues in support of strategic business initiatives and objectives
