Reporting to the Vice President and Assistant General Counsel, Stericycle is seeking a Senior Commercial Counsel to work on commercial and vendor agreements and other transactions to support our various business lines. This important role has responsibility for drafting, reviewing and negotiating a wide variety of customer and vendor contracts, partnering with our commercial and strategic sourcing organizations to resolve commercial disputes, and providing strategic support to the business on commercial matters. This role will provide day to day support to internal business clients, including corporate executives and business and operating unit management. This role will advise clients on legal risks and business strategies and other issues related to commercial transactions. This position will also oversee contract intake processes, including working with a contract management team and providing reporting on contracting activities. The ideal candidate is comfortable working in a dynamic environment, a creative problem solver, process oriented, and comfortable working with technologies related to commercial contracting. • Build strong partnerships with Strategic Sourcing, Sales, Marketing and other functional areas while creating and maintaining best-in-class, effective and efficient transaction processes. • Negotiate, draft and review contracts, including Master Service Agreements, IT agreements, contract modifications, contract compliance, contract requirements, proposal preparation, and non-disclosure agreements (NDAs).
• Provide practical and effective advice to business leaders and develop relationships with key business stakeholders.
• Provide counsel to and advise business leaders in the development of contractual terms and conditions that align with the business requirements, statements of work, contractual rights and obligations, negotiations, risk identification and interpretation of contract terms and conditions.
• Manage cross-functional initiatives and working teams to improve internal contract processes.
• Manage internal and external resources as needed in the delivery of commercial support to the business.
• Develop and provide regular training to business partners regarding applicable contract terms and templates, including appropriate fallback positions.
• Stay current on relevant legal and regulatory changes to bring forward business opportunities and provide advice on and manage associated risk.
• Advise company leadership of any contractual or performance difficulties and proposing appropriate course of action for resolution.
• Plan, direct, develop, and manage activities of staff, providing oversight of staff with regard to the negotiation, preparation, monitoring and termination of contracts between the Company and customers.

• Required Education: Juris Doctor
• Minimum eight (8) years of experience as an attorney in a law firm or company, focused on commercial, litigation or related areas
• Commercial legal contract experience in corporate setting, preferably in highly regulated industry
• Experience with contract lifecycle management technology, a plus
• Experience working independently and cross-functionally using legal judgment and strategic thinking to close complex transactions
• Ability to multi-task, prioritize, and organize work to meet deadlines
• Strong interpersonal and oral and written communication skills, including experience interacting with senior leaders
• Experience managing attorneys and staff, a plus
• Project management experience, a plus
• Must be licensed to practice law in at least one jurisdiction
• Detail-oriented self-starter with ability to work with limited supervision
• Strong decision-making, solid judgment, critical thinking, creativity, and problem-solving skills
• Must be able to travel occasionally
