Basic Purpose of Position: |
The purpose of this position is to assist and support the General Counsel in providing legal advice, counsel and assistance to the Delaware River Port Authority (“DRPA”) and its wholly owned subsidiary Port Authority Transit Corporation (“PATCO”) (collectively referred to as “Authority”), and perform related duties as required. |

Major Responsibilities and Duties
DESCRIPTION OF TASK | |
1. | Assist the General Counsel in monitoring Authority compliance with all applicable laws, statutes, rules, and regulations by reviewing, researching and analyzing same and their relation to the functions and activities of the DRPA and PATCO. Under the General Counsel’s direction, keep the Authority Board of Commissioners and staff apprised of any need to modify existing policies and practices considering said changes; safeguard the Authority’s unique status as a bi-state public corporate entity. |
2. | As directed by General Counsel, conduct all phases of in-house litigation from inception through trial and appellate process. Coordinate and monitor outside counsel’s handling of litigation concerning the Authority to ensure consistency, quality and efficiency of legal representation and favorable outcomes. Assist outside counsel in the preparation and presentation of litigation matters. Assist the General Counsel in defending the Authority from loss and liability by providing legal counsel, drafting contracts and other documents as required. Research, draft and review contracts, operating agreements, leases, licenses, permits and all other legal documents relating to the operation, design, construction, repair, maintenance, sale, acquisition, transfer and use of the Authority’s property and facilities. Evaluate, prepare and initiate claims and legal actions against third parties for damages to the Authority’s property, facilities and other assets. Investigate and represent the Authority, their officers and staff at administrative investigations and hearings. |
3. | Analyze legal problems and perform legal research; prepare legal opinions on matters affecting the DRPA and PATCO; research, draft and review legislation and regulations germane to and/or affecting the Authority. Analyze the impact upon the Authority and recommend guidelines, policies and procedures concerning compliance with applicable laws and regulations. Responsible for the legal functions relating to the acquisition, transfer, purchase, sale and use of real property. |
4. | Draft and periodically review all administrative and operational documents, policies and procedures for adherence to, and compliance with, applicable statutes, rules, regulations and established legal precedent. |
5. | Attend Board, Committee and other meetings as directed by the General Counsel. |
6. | Perform other related duties as required and assigned by the General Counsel. |
