GENERAL PURPOSE OF POSITION:
Under the direction of the General Counsel, the paralegal position organizes and maintains electronic and paper files; monitors electronic dockets; maintains trademarks; assists in corporate governance, compliance, and record-keeping functions; conducts preliminary review of contracts and assists in managing contracts; manages compliance with the group exemption; and assists the Office of General Counsel by providing a variety of support duties.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES:
- Approximately 25% of time devoted to administrative assistance:
- Organize and maintain paper and electronic files as directed.
- Performs other clerical duties such as scheduling appointments, providing information to callers, composing and typing routine correspondence, scanning/photocopying, and reading and routing incoming mail.
- Performs support duties such as making travel arrangements, planning meetings, and preparing and filing expense reports.
- Monitor electronic dockets as directed; calendar key events; correspond with outside counsel as necessary.
- Monitor and maintain trademarks as directed; prepare and file appropriate maintenance filings with U.S. Patent and Trademark Office; provide assistance in registering new trademarks; conduct searches for unauthorized trademark use.
- Assist in corporate governance functions for corporations of the National Setting as directed, including but not limited to drafting resolutions, taking, reviewing and maintaining minutes, scheduling board meetings, and collecting information from board members as directed.
- Attend offsite United Church of Christ Board meetings in March and October, including evening and weekend sessions; attend virtual board and committee meetings as necessary including evening and weekend sessions;.
- Assist in corporate record-keeping functions for corporations of the National Setting as directed, including but not limited to filings required by the secretary of state.
- Staff Credentials Committee of the General Synod, including monitoring and analysis of compliance of Conference delegations with requirements, communications regarding same with Conferences, and scheduling and attending meetings of committee.
- Manage compliance with group tax exemption in accordance with the established process; communicate regularly with subordinate organizations and provide reports as required.
- Review contracts and manage existing contracts.
- Assists in corporate transactions and real estate transactions when required.
- Research (case law and statutory) as directed and the preparation of memoranda to the General Counsel as directed.
