TMRS Overview

The Texas Municipal Retirement System (TMRS) is a statewide public retirement system that provides retirement, disability, and death benefits to more than 230,000 employees, retirees and their beneficiaries of 940 participating Texas cities. TMRS’ investment staff manages more than $43 billion in Trust Fund assets.

 

Position Duties/Responsibilities  

 

The Private Markets Investment Attorney reports to the Chief Legal Officer and provides legal advice to TMRS investment staff.  The attorney will represent TMRS on multi-million dollar, complex fund investments and private market transactions, and brings significant transactional experience and negotiating skills.  You will work with highly motivated, experienced legal and investment professionals.  Duties include:

           

  • Negotiating agreements for all TMRS asset classes, including documents for private funds, funds of one, co-investment transactions, investment manager agreements, and strategic partnerships.
  • Providing legal advice to the investment staff and senior management relating to investment matters.
  • Researching and advising on investment-related legal matters.
  • Ensuring compliance with state and federal laws and rules applicable to TMRS’ investments.
  • Preparing communications, memos, and legal opinions.
  • Retaining and supervising outside counsel.
  • Special projects and other duties as assigned.

Education and Experience

 

A JD degree and at least five years of private markets legal experience is required. Experience working for asset managers or institutional investors is required, experience with mergers and acquisitions or finance is preferred.  Each candidate must be a licensed attorney and in good standing with a state bar association (a State of Texas licensed attorney is preferred). If not licensed in Texas, the candidate must be eligible to waive into the Texas State Bar within one year from date of hire.
