Job Description: As Senior Antitrust Counsel, you will be a member of HP's Corporate Legal team and will perform all job duties consistent with HP's values, standards, culture, and business practices.  

We are seeking a highly skilled and motivated Senior Antitrust Counsel to join our dynamic legal team. The ideal candidate will have a strong background in antitrust law and a passion for safeguarding competitive markets. This role involves, but not limited to, advising clients on compliance with antitrust laws, securing regulatory approvals in M&A and strategic transactions, and advising on complex economic issues. This is an outstanding role for a qualified antitrust lawyer who seeks new challenges as well as testing their business and legal judgment inside and outside of their trained jurisdiction. 

Key Responsibilities include: 

  • Compliance Advisory:Provide detailed guidance to clients on compliance with global antitrust laws. 

  • Merger and Acquisition Reviews: Conduct thorough antitrust risk assessments for M&A and strategic investments. In partnership with outside counsel, oversee the preparation and filing of documentation with regulatory bodies such as the Federal Trade Commission (FTC), Department of Justice (DOJ), and global regulatory authorities in other jurisdictions. 

  • Litigation and Defense: Represent clients in antitrust litigation, including defending against claims of monopolization, price-fixing, bid-rigging, and other anti-competitive practices. Develop and execute litigation strategies, draft pleadings, and manage discovery processes. 

  • Investigations: Lead and manage internal investigations into potential antitrust violations. Coordinate with regulatory authorities during investigations and respond to subpoenas and civil investigative demands. 

  • Economic Analysis: Collaborate with economists to analyze market conditions, competitive dynamics, and economic impacts of business practices. Use this analysis to support legal arguments and strategies. 

  • Training and Education: Develop and deliver antitrust compliance training programs for employees and other stakeholders. Ensure that employees and stakeholders are aware of and adhere to antitrust laws and regulations. 

  • Policy Development:Assist clients in developing and implementing internal policies and procedures to prevent antitrust violations. Regularly review and update these policies to reflect changes in the legal landscape. 

  • Regulatory Liaison: Act as a liaison between clients and regulatory bodies. Maintain strong relationships with key regulators and stay informed about regulatory trends and enforcement priorities. 

  • Market Monitoring: Continuously monitor market conditions and industry practices to identify potential antitrust issues. Provide proactive advice to clients to mitigate risks and capitalize on opportunities. 

The Senior Antitrust Counsel is expected to establish and maintain relationships, credibility and trust with clients, business stakeholders, other legal team members and colleagues. Qualified candidates should have in-depth experience working across many jurisdictions simultaneously and providing advice and counsel to executive leadership. This candidate will be able to provide flexible, pragmatic, solution-driven and commercially relevant antitrust advice. 

The candidate will be responsible for making informed decisions and assessments on legal risk in the best interests of the enterprise, with a deep understanding of the bigger picture. It is essential that the right person has the confidence and mindset to contribute to legal matters in countries where they are not trained and do not have specific expertise. The successful applicant must be able to show that they can perform in a considered yet timely manner, communicating their advice in a way that is tailored to the needs of the client. 

As required, you will work closely with the market and functional leadership teams. You will maintain close connections with members of the Global Legal team and collaborate on antitrust aspects of global and country-level projects.  

Qualifications: 

  • A U.S. qualified lawyer. 

  • Typically, 10+ years’ post qualification antitrust experience in a major law firm, or in-house that is either ongoing or very recent with the following critical experiences and skills: 

  • Work experience with international clients and cross-border projects, including exposure to strategic business decisions. 

  • Advanced drafting, counseling, and negotiation experience in antitrust matters. 

  • Advanced experience securing regulatory approvals in M&A, negotiating antitrust provisions in acquisition agreements, negotiating and overseeing “clean team” agreements, and advising on other antitrust and regulatory compliance issues in M&A. 

  • Exposure to litigation, investigations, and regulatory audits, or generally a well- diversified practice experience. 

  • Advanced experience in providing legal advice with clear risk balancing in a commercial setting directly to business leaders. 

  • Strong organizational skills and the ability to effectively own and manage multiple transactions and projects, including instructing outside counsel globally and coordinating with internal business partners. 

  • Strong ability to communicate complex and/or controversial topics and concepts to a wide and diverse audience in an easy to understand and concise way. 

  • Fluency in English (written and oral) is  

  • Proactive and hard-working. 

  • Team player who can maintain composure in the midst of challenging situations carrying significant business risk. 

  • Sensitivity to the diversity of cultures, when giving antitrust advice and counseling.

The typical base pay range for this role in Houston, TX is USD $173,250 - $266,800 per year. There is a different range applicable to specific work locations within the Palo Alto, CA area, and the base pay range for this role in this location is USD $189,750- $292,250 per year.
