What you get to do:

  • Assist with SEC filings, including Forms 8-K, 10-Q, 10-K, proxy statements and Section 16 filings
  • Prepare and review written consents, minutes, resolutions, certifications and other corporate documentation as needed under attorney guidance
  • Assist with the preparation and filing of annual corporate reports in multiple jurisdictions
  • Conduct legal research and draft simple legal documents, as assigned
  • Assist with a variety of legal transactional matters
  • Conduct legal research and draft simple legal documents, as assigned
  • Assist in-house legal staff on select projects, as assigned

What it takes to succeed:

  • 5+ years of paralegal experience supporting multiple attorney work streams in a law firm and/or in-house legal department with the following experience:
  • Associates’ degree and/or Bachelor’s degree preferred
  • Ability to work with all levels of the organization
  • Ability to work overtime as required (generally around board meetings and quarterly SEC filings)
  • Ability to draft and review legal documents with accuracy
  • Excellent analytical skills with strong attention to detail
  • Exceptional interpersonal and communication skills (verbal and written)
  • Ability to work independently, as well as in a team environment
  • Ability to organize, prioritize, and meet deadlines with a positive attitude and calm presence under pressure
  • Proven ability to maintain strict confidentiality
  • Sound understanding of corporate legal concepts, terminology, and procedures
  • Proficiency with Windows and MS Office applications (Word, Excel, PowerPoint, Outlook, Internet, SharePoint, etc.).
  • Proficiency with corporate entity management software and/or trademark and patent databases preferred
  • Corporate governance experience preferred (experience drafting board resolutions, consents, minutes, filing annual reports, managing subsidiaries, and assisting the corporate secretary)
  • Public Company experience preferred (experience drafting and reviewing public company filings including Forms 10-K, 10-Q, 8-K, 3, 4, 5 and SD and Proxy Statements)
