
MetaSource is seeking a Corporate Attorney to join our Legal and Compliance Department. This individual will lead and support all legal aspects of our rapidly growing Business Process Management (BPM) and Digital Transformation business. This role will drive contract strategy, mitigate legal risks, oversee compliance and litigation matters, support M&A and Intellectual Property initiatives. The ideal candidate will be a trusted legal advisor with proven expertise in balancing legal risk with business goals across highly regulated and sectors such as financial and mortgage services, healthcare, and public sector.
Location: This position is temporarily remote. It will transition to on-site in our new downtown Salt Lake City location at the end of the year.
Key Responsibilities
- Contract Management & Negotiation—Drafts, negotiates, executes, and manages the lifecycle of commercial contracts to protect company interests while enabling business growth. Ensures timely and accurate contract turnaround to support sales, operations, and strategic partnerships.
- Enterprise Risk Management—Identifies, assesses, and mitigates legal risks across all business units. Proactively collaborates with senior leadership to implement risk controls and maintain compliance with evolving legal and regulatory frameworks.
- Corporate Insurance Oversight—Manages aspects of corporate insurance including policy review, renewals, and claims handling. Ensures adequate coverage aligns with business activities, contractual obligations, and risk profile.
- Regulatory & Corporate Compliance—Develops and monitors compliance programs that meet federal, state, and industry-specific legal standards. Serves as the company’s internal resource for compliance education, documentation, and audit support.
- QA and QC Management – Supports, guides, and provides oversight of company Quality Assurance (QA) and Quality Control (QC) internal auditing.
- Corporate Governance—Supports corporate governance practices, policies, and regulatory filings. Maintains accurate and compliant corporate records across all legal entities.
- Legal Advisory to Business Units—Serves as a trusted advisor to internal departments on legal matters impacting operations, partnerships, marketing, HR, IT, and procurement. Balances legal integrity with business enablement.
- Policy Development and Legal Literacy—Develops and implements legal policies and procedures. Engages with leaders across the business to build legal literacy to minimize organizational risk exposure. Promote a culture of integrity, compliance, and ownership across teams.
- Litigation Management—Coordinates and oversees litigation, arbitration, or dispute resolution proceedings with external counsel. Ensures effective strategies are in place to minimize financial exposure and reputational risk.
- Intellectual Property (IP) Management—Protects company innovations, trademarks, and proprietary information through proactive IP registration, enforcement, and portfolio strategy. Supports product and service development through intellectual property risk assessments.
- Mergers & Acquisitions Support—Provides legal counsel during due diligence, deal structuring, negotiation, and post-close integration phases of mergers and acquisitions. Protect company value and accelerate execution timelines through sound legal guidance.
- Minimum of 7 years of legal experience with at least 3 years in an in-house counsel role with a Juris Doctor (JD) degree from an accredited law school with active membership in good standing with a U.S. state bar, at a minimum inclusive of admission to the UT state bar.
- Experience in contract lifecycle management systems and legal risk mitigation strategies.
- Strong knowledge of corporate law, data privacy, IP law, employment law, and industry-specific regulations (e.g., HIPAA, FCRA, GLBA, GDPR, PIPEDA, UK DPA, TRID, US DOT).
- Demonstrated experience managing commercial contracts, regulatory compliance, litigation, M&A transactions, and corporate insurance matters.
- Demonstrated experience managing and responding to due diligence needs, both as to client counterparty response and relevant to an effective vendor management program is desired.
- Experience and conversant with US DOT and applicable state regulation relative to operation of fleet vehicles.
- Demonstrated experience in employment law practice advising in-house HR staff is key.
- Business acumen with the ability to align legal strategies to business outcomes.

Preferred Experience
- Experience in BPO, BPM, Digital Technology, Financial, and or Mortgage industries.
