
Job Description
The Corporate Paralegal is responsible in assisting the General Counsel with managing corporate legal matters by preparing and filing company documents, maintaining corporate records, conducting legal research, drafting contracts, ensuring compliance with regulations, and supporting various business transactions under the supervision of licensed attorneys.
Essential job functions:
- Maintaining and updating corporate records including board resolutions, shareholder agreements, annual reports, and other legal documents.
- Assisting in drafting, reviewing, and negotiating contracts, including non-disclosure agreements, vendor agreements, and employment contracts.
- Conducting research on relevant laws, regulations, and case precedents to support legal strategies.
- Drafting and preparing legal documents such as corporate filings, minutes of meetings, and compliance reports.
- Tracking and ensuring adherence to applicable corporate laws and regulations
- Facilitating the formation of new business entities like LLCs and corporations
- Assisting with trademark registration and maintenance processes
- Aiding with pre-litigation matters, including document collection and organization
- Managing legal files, calendaring deadlines, and coordinating with other departments within the company
Requirements

- Strong understanding of corporate law principles
- Proficiency in legal research methods and databases
- Excellent verbal and written communication skills
- Excellent document drafting and editing skills
- Detail-oriented with strong organizational abilities
- Ability to work independently and as part of a team
- Familiarity with state and federal corporate filing requirements
- Proficient in Microsoft Office Suite or related software as well as legal document management systems
- Physical Requirements:
- Prolonged periods of sitting at a desk and working on a computer
- Must be able to drive short distances as needed
Travel required:
- Occasional travel to attend face-to-face meetings locally via car or public transportation
- Occasional US travel as needed
Required Education and Experience:
- An associate’s degree or a certificate in paralegal studies
- Minimum 3 years’ experience working in a law firm or corporate legal department
- Preferred Education and Experience:
- A bachelor’s degree in paralegal studies
- Certified Paralegal (CP) or Registered Paralegal (RP) certification
- Experience in the government contracting industry
- Work authorization/security clearance requirements
- Requires evidence of eligibility to work in the United States
