Job Overview


Deephaven Mortgage is seeking a highly organized and detail oriented Corporate Paralegal with a strong background in vendor contract negotiation and management, compliance, and corporate governance. The ideal candidate will possess specific knowledge of technology-related contracts, including software licensing (SaaS), cloud services, artificial intelligence (AI) solutions, and data privacy agreements. The Corporate Paralegal will be responsible for supporting the legal team in contract management, compliance, corporate governance, and other related compliance and legal matters. This role requires a hybrid schedule in our Charlotte, NC office located in the Ballantyne area.

What You’ll Do

Contract Drafting and Management:

  • Assist in drafting, reviewing, revising, and negotiating contracts (vendor contracts, SaaS, service level agreements (SLAs), cloud services, data privacy, and non-disclosure agreements (NDAs))
  • Maintain a contract database for centralized storage, organization, and data entry, highlighting risk areas
  • Develop contract and NDA playbooks

Corporate Governance:

  • Assist with maintaining corporate records, corporate governance policies, and board and committee meetings
  • Serve as a liaison between the internal and external stakeholders  to ensure smooth communication, coordination, and workflow of legal and corporate matters
  • Assist in drafting and management of internal policies and procedure

Legal Research:

  • Conduct legal research on corporate governance, regulatory issues, and other matters as needed
  • Assist in reviewing, analyzing, and responding to subpoenas
  • Compliance: Monitor and ensure compliance with a broad range of laws, regulations, industry standards, and company policies (corporate governance, intellectual property, data protection, cybersecurity, artificial intelligence, and mortgage origination laws and regulations)
  • Transaction Support: Assist in corporate transactions such as organizing and maintaining due diligence materials, reviewing purchase and sale agreements, and coordinating signatures


What We Need

  • Education: Paralegal certification or equivalent education/experience

  • Experience: 3-5 years of experience as a paralegal in a law firm or in-house legal department, preferably in vendor management or contract management within the technology or mortgage industry

  • Legal Knowledge and Skills: Strong understanding and proven experience in contracts, corporate governance, and compliance matters. Strong understanding of technology vendor management, including software licensing, cloud services, AI, data privacy, and cybersecurity

  • Organizational Skills: Excellent organizational skills, attention to detail, and to manage multiple tasks, prioritize, and meet deadlines in a fast-paced environment with a high degree of professionalism

  • Communication: Strong communication and interpersonal skills, with the ability to collaborate effectively across departments

  • Technical Skills: Proficient in legal research tools, contract management software, and MS Office Suite

  • Preferred: Familiarity with mortgage industry regulations and compliance requirements

  • Ability to work in our Ballantyne office located in Charlotte, NC
