Job Summary

The Corporate Counsel – Commercial Contracts is a key member of the Legal department. This role will provide comprehensive legal support for the organization and is responsible for drafting, reviewing, and negotiating various legal documents, as well as ensuring contracts comply with applicable laws and regulations. Additionally, this role will conduct legal research, partner with external counsel, and advise on legal issues within the organization.

Major Tasks, Responsibilities and Key Accountabilities

  • Collaborates with Legal team and stakeholders to provide expert and strategic legal advice on a broad range of legal contract matters to executives, management, and key stakeholders.
  • Researches legal issues, provides legal analysis and develops strategies to address issues, and oversees resolutions.
  • Evaluates and weighs multiple inputs and impacts of any decision or course of action.
  • Drafts, reviews, and revises a variety of legal agreements, ensuring accuracy, clarity, and compliance with applicable laws.
  • Identifies proactive solutions and drafts agreements that eliminate or mitigate risks and maximize legal rights.
  • Interacts with external stakeholders, including, but not limited to, collaborating with external legal counsel on various legal matters.
  • Oversees matters that cut across legal and business-related areas.  Stays abreast of relevant legislative changes.
  • Develops training material and educates employees on legal issues, company policies, and best practices.
  • Performs other duties to support the Legal team, as needed.

Nature and Scope

  • Demonstrates skill in data analysis techniques by resolving missing/incomplete information and inconsistencies/anomalies in more complex research/data.
  • Nature of work requires increasing independence; receives guidance only on unusual, complex problems or issues. Work review typically involves periodic review of output by a supervisor and/or direct customers of the process.
  • May provide general guidance/direction to or train junior level support or professional personnel.

Work Environment

  • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
  • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
  • Typically requires overnight travel less than 5% of the time.

Education and Experience

  • Typically requires BS/BA in a related discipline. Generally, 2-5 years of experience in a related field OR MS/MA and generally 2-4 years of experience in a related field. Certification is required in some areas.
  • Displays the highest level of critical thinking and analysis in bringing successful resolution to high-impact, complex, and/or cross-departmental problems. Makes prompt, sound decisions when faced with complex and often contradictory alternatives that result in successful outcomes.
  • Operates with considerable latitude. Situations may have little or no precedent requiring original or new concepts or approaches without guidance from others. Reaches decisions under conditions of uncertainty.
  • Develops or engages/directs others in developing innovative solutions to important, highly complex strategic and operating problems; cross-departmental considerations are often present.

Preferred Qualifications

  • Juris Doctor degree from an accredited law school; licensed to practice law in at least one U.S. state.
  • 3+ years post-JD commercial contract experience in a law firm or in-house setting.
  • Experience developing/recommending updates to contract templates and playbooks.
  • Proficient at reviewing third-party agreements against company form contracts to identify issues.
  • Excellent written communication and interpersonal skills, with the ability to effectively engage and influence stakeholders at all levels.
  • Ability to manage contracts within company’s contract lifecycle management system and save documents in accordance with Legal department processes.
  • Proficient in Microsoft Office, Adobe Acrobat Pro, e-signature tools (DocuSign), and Ironclad, considered a strong plus
  • Analytical mindset with the ability to assess complex situations and develop appropriate strategies.
