Inspire Veterinary Partners is in search of a legal expert to provide retained (contracted) services in Securities & Corporate Legal matters. The retained individual will be responsible for providing legal guidance and support on securities law compliance, corporate governance, and general corporate matters. This role involves advising the company on SEC regulations, public company reporting requirements, and corporate transactions. The position ensures the organization complies with securities laws while supporting its business strategy and growth.
The ideal candidate will have a strong background in securities law, excellent analytical skills, and the ability to work collaboratively with various departments within the organization. Experience with securities law to include:
- Public offerings, capital market and public company funding structures, SEC filings, public company quarterly and annual filings, Nasdaq listing compliance, regulatory guidance and filings, FINRA guidelines and corporate requirements under FINRA and SEC guidelines
Key Responsibilities:
- General legal support for corporate governance matters including tax filings, entities and corporate structures, real estate lease negotiations and management, business law and corporate governance
- Provide legal advice on securities transactions and regulatory compliance
- Ensure adherence to SEC regulations and other relevant laws
- Draft and review legal documents such as prospectuses, registration statements, and SEC filings (e.g., 10-K, 10-Q, 8-K)
- Work with the company’s senior team to ensure accurate and timely filing of all required documentation to maintain compliance with exchange, securities and government guidelines
- Advise on corporate governance matters, including board responsibilities and shareholder rights, general business matters, supplier and vendor contracts, lease execution and asset purchases.
- Support the Board of Directors and Board Committees with legal guidance
- Assist in structuring and negotiating financial transactions like mergers and acquisitions, public offerings, and equity investments
- Provide legal support for equity and debt financing
- Advise on disclosure requirements for earnings releases, investor materials, and management presentations
- Ensure compliance with reporting and disclosure requirements under SEC and Nasdaq rules
- Represent the company in communication with regulatory bodies and authorities

Key Requirements & Qualifications:
- A Juris Doctor (JD) degree from an accredited law school
- Courses in securities law, corporate law, mergers and acquisitions, and financial regulation are highly beneficial
- Admission to the bar inclusive of passing the bar exam and meeting other state-specific requirements in any of the contiguous 48 states is mandatory. Work location within the Eastern Time zone preferred.
- A minimum of 5 years of experience in corporate law, securities regulation, and compliance
- Experience with public offerings, SEC filings, and corporate governance is particularly valuable
- Strong analytical and problem-solving skills to navigate complex legal and regulatory issues
- Excellent written and verbal communication skills to effectively advise clients and draft legal documents
- Precision in reviewing and preparing legal documents and ensuring compliance with regulations
- In-depth knowledge of SEC regulations, including recent updates and compliance requirements.
- Experience and understanding of compliance requirements for the major U.S. exchanges, specifically Nasdaq and NYSE.
- Understanding of corporate governance practices and requirements
- Familiarity with financial statement requirements for securities offerings
- Current with the latest developments in securities law and corporate governance through continuing legal education (CLE) courses and professional development
- Membership in professional organizations such as the American Bar Association (ABA) and the Association of Corporate Counsel (ACC) preferred
