Legal Professional (Paralegal) – Southlake, TX

Position Snapshot:

This position will assist Trinity Investors (the "Company") and its affiliates TPEG Securities (B/D) and TIFA (RIA), in managing the workflow of its new and existing investments. The ideal candidate will possess a strong understanding of legal documentation skills, demonstrate leadership qualities, and have experience working within a law firm's corporate practice group or in-house at a private equity firm.

Candidate must be able to work in-person at the Southlake, TX office. The Company will consider partially remote and/or flexible schedule arrangements for qualified candidates.

Key responsibilities will involve preparing legal documents such as subscription agreements, private placement memoranda, fund formation agreements, and related documents, managing corporate records, coordinating with stakeholders, and ensuring compliance with securities laws and regulatory filings. The role requires strong organizational skills, attention to detail, proficiency with software, and the ability to work effectively in a fast-paced environment.

This position reports to the Compliance Associate and works directly and indirectly with the Investments, Accounting, and Client Relations teams at the Company.

Required Qualifications, Education, and Experience:

  • Undergraduate degree in a relevant field
  • Minimum 3 years' previous project coordinating experience; previous private equity, financial services, or compliance experience is highly beneficial; paralegal skills is a plus
  • Ability to work effectively both independently and as part of a team
  • Excellent written and verbal communication skills
  • Ability to manage multiple concurrent projects of varying sizes and complexity with minimal oversight
  • Ability to oversee internal and external resources, and escalate to management as needed
  • Ability to understand applicable compliance laws and regulations, analyze their effect on business practices, and work with key stakeholders, as needed, to clarify requirements and address related issues
  • Strong attention to detail and accuracy
  • Software skills - Excel, Word, PowerPoint, and Outlook software required; Juniper Square experience is a plus
  • Must have the ability to self-direct work and exercise independent judgment to formulate and implement solutions

Essential Functions:

  • Support the Compliance, Investments, Accounting, and Client Relations teams during the entire lifecycle of an investment transaction, from inception to closing and post-closing administration
  • Assist in drafting, reviewing, and proofreading various legal documents, such as fund formation documents and investment agreements
  • Assist in preparing and submitting regulatory filings, including SEC disclosures and Form D filings
  • Respond to requests and inquiries from regulatory bodies
  • Manage due diligence and deal approval process; interact with both the Trinity investment and Accounting Team
  • Manage external counsel review of investment documents
  • Manage the process of assignments and transfers of investments
  • Building on the candidate's experience at prior companies or firms, and in conjunction with the Compliance, Investments, and Client Relations teams, create, implement, and maintain a system for managing the lifecycle of an investment transaction, with the goal of improving internal and external efficiencies, tracking the status of each step in the process, and creating better workflows and smoother transactions overall

Compensation and Benefits:

Compensation will be commensurate with experience.

The employee may work extended hours, outside of regular shift schedule, as required by operational needs.
