POSITION DESCRIPTION

Position Title: Associate General Counsel, Asset Management and Operations

Reports To: Deputy General Counsel

Direct Reports: No Functional Unit: Legal, Regulatory, and Government Affairs

FLSA Status: Exempt Position Type: Full-Time

Location: Denver

THE CHALLENGE

Onward Energy is a rapidly growing company in the power generation sector. The company manages a variety of commercial and transactional legal matters, including commercial and operational contracts, business transactions (including mergers & acquisitions), litigation management, risk management, regulatory compliance, human resources, and general commercial legal counseling.

THE RESPONSIBILITIES

  • Manage internal legal inbox, which is the primary intake point for company legal matters.
  • Provide legal counsel to internal stakeholders throughout the company, including asset management, operations, M&A, commercial, and business development teams. Secondary responsibilities include support of senior management, regulatory, human resources, and finance teams.
  • Review, negotiate, and draft a broad spectrum of commercial and operational contracts, including, real property agreements, term sheets, nondisclosure/confidentiality agreements, services agreements, purchase agreements, consulting services agreements, and engagement letters
  • Review vendor markups and negotiate with vendors
  • Assist with developing company policies and procedures
  • Assist with review of financing documents and associated consents
  • Perform legal research
  • Support various efforts regarding due diligence and review, negotiation, and drafting of transaction documents
  • Manage outside counsel in matters of threatened and pending litigation, subject-matter-specific items, and others as assigned
  • Assist with regulatory filings, including FERC filings as necessary
  • Assist with regulatory compliance and agency actions as necessary
  • Respond to issues by prioritizing, engaging relevant parties, and escalating matters or contacting a specialist, as appropriate
  • Other duties as assigned

THE PROFILE TO SUCCEED

J.D. degree from an accredited law school and an active license to practice law are required for the position.

  • 2-5 years practicing law in a law firm or in-house setting, with extensive experience with a variety of commercial legal issues
  • Significant experience with real property matters, including leases and easements
  • Significant experience drafting commercial contracts
  • Must thrive in a fast-paced, demanding environment
  • Ability to manage multiple projects, activities and deliverables simultaneously
  • Creative, clear thinker with demonstrated oral and written communications skills
  • Skilled at building effective partnerships across the organization at all levels
  • Willingness to travel when necessary
  • Project management experience as direct lead on project from start to finish
  • Effective time management and organizational skill; keen multi-tasking capabilities and attention to detail
  • Exceptional verbal and written communication and presentation skills.
  • Strong interpersonal skills to interface with all levels of company personnel and external customers
  • Self-starter with the ability to work well independently and as part of a cross-functional team
  • Track record of successfully delivering quality content consistently and on time (in the face of demanding deadlines), while always demonstrating discretion and maintaining confidentiality
  • Experience in government affairs and regulatory matters a plus, but not required
  • Energy industry experience a plus, but not required

THE PHYSICAL REQUIREMENTS

THE TEAM

Onward Energy team is collaborative, dedicated, hard-working, and down to earth. The management team is comprised of seasoned industry professionals supported by experienced project operators and advisors.

THE WORK ENVIRONMENT

Onward Energy is currently implementing a hybrid office environment, with team members in the office at least two days per week. This position is based out of our Denver office. The position functions in a smoke and vaping free professional office environment. The role routinely utilizes standard office equipment such as laptop computer, phone, and scanner/photocopier.
