Who we’re looking for
Toyota’s Legal Department is looking for a passionate and highly motivated Senior Paralegal with 5+ years of experience providing legal and compliance support in the areas of corporate transactions, securities/capital markets, and corporate governance.
The primary responsibility of this role is to assist our capital markets efforts by supporting the organization’s corporate governance processes. In addition, this paralegal will play a key role in supporting a high volume of sophisticated financing transactions (including the public and private issuance of debt securities, term loans and credit facilities) and related regulatory filings with the SEC.
The successful candidates will have exceptional organization skills and strong attention to detail.
This position is based in Plano, Texas. The selected candidate will be expected to reside within commutable distance of this location.
What you’ll be doing
Assist with corporate governance, including maintenance of domestic and international subsidiary board minute books, delegations of authority and officer and director lists. Assist with preparation and filing of annual corporate reports with various secretaries of state. Prepare responses to corporate governance data requests, due diligence requests and audit-related informational requests.
Assist in review and coordination of regulatory filings in U.S., Europe, and Japan, including quarterly and annual filings and investor presentations.
Manage documentary due diligence and support closing process for financing transactions, e.g., prepare officers certificates, review closing documents, draft memos to signatories, etc.
What you bring
Education: High School Diploma required
Licenses/Certifications: Paralegal license required
Experience: 5+ years of experience as a paralegal, supporting transactional, corporate governance, and/or securities issuances.
Skills/hands on technical proficiency: Proficient in MS Office products
