Job Description: Senior Counsel - Investigations
The Senior Counsel – Investigations role is for an experienced, creative and strategic attorney with impeccable judgment who will conduct privileged internal investigations, both domestically and internationally, related to alleged violations of the Company’s Code of Conduct, policies, and relevant laws and regulations. The Senior Counsel – Investigations will report to the Vice President, Head of Global Investigations and work closely with relevant partners, including Ethics, Compliance, Internal Audit, Human Resources, the Law Department and business stakeholders. The Senior Counsel – Investigations will also identify root causes of issues and gaps in processes and controls, and work with appropriate stakeholders to identify remediation actions to address those gaps. This role will also support the Company’s response to investigations by government regulatory agencies and law enforcement.
Responsibilities Include:
- Conduct privileged internal investigations of violations of the Company’s Code of Conduct, policies, and laws and regulations and provide legal counsel and advice on legal issues implicated in investigations.
- Analyze complex legal issues, including potential violations of federal and state laws and regulations such as Antitrust laws, anti-money laundering and anti-corruption laws, the Foreign Corrupt Practices Act, commercial bribery prohibitions, federal and state False Claims Act laws, Packers and Stockyards Act, labor and employment anti-discrimination laws, environmental laws, and other criminal and civil laws and regulations implicated by internal investigations.
- Advise the Company and Management, including Executive Leadership and the Board, on the legal risks and company exposures identified in investigations.
- Identify root causes of issues and gaps in processes and controls and advise and collaborate with other members of the Law Department, Compliance, Finance, Internal Audit, Human Resources, and other stakeholders on the implementation of remediation of gaps identified in investigations.
- Devise the company’s strategy and response to government investigations and regulatory enforcement actions, including the U.S. Department of Justice, Department of Labor, USDA, state Attorneys General, and other law enforcement and regulatory agencies.
- Represent the Company in interactions with government regulatory and law enforcement agencies, including the U.S. Department of Justice, Department of Labor, USDA, state Attorneys General, and others.
- Advise on complex pre-litigation disputes and collaborate with cross-functional colleagues to provide practical and thoughtful legal counseling on a variety of business initiatives, emerging risk issues and risk assessments.
- Develop and implement an investigation plan for each case; determine method, order, and timing of interviews and evidence to gather.
- Conduct thorough witness interviews; gather and review Company documents, electronically stored information, and systems to obtain and analyze relevant information.
- Conduct complex analysis and apply facts gathered in an investigation to the Company’s Code of Conduct, policies, and applicable laws and regulations; assess situations to determine risk mitigation and escalate as necessary to appropriate parties.
- Actively engage with and manage outside counsel to ensure the best outcomes, development and management of reasonable budgets, and alignment of strategies with internal business priorities.
- Coordinate with other areas/departments of the Company where overlap exists to develop efficient procedures/communications to streamline processes and satisfy various department needs.
- Maintain engagement with key external parties and entities, including counterparts at other companies in the industry, key government agencies, and outside counsel network.
- Provide briefings, presentations, and trainings as needed.
- Assess existing utilization of investigatory methods, processes and procedures for adequacy and related policies for regulatory compliance. Recommend enhancements or modifications, as required.
- Provide guidance on the enhancement of Company policies and procedures.
- May be required to participate in depositions, court trials, arbitration hearings, and government agency hearings.
Experience required:
- Extensive experience in conducting investigations in a highly regulated industry.
- Experience with government agencies and/or law enforcement.
- Demonstrated effectiveness advising and working with senior leadership.
- Excellent written and oral communication skills and an ability to convey complex facts, perspectives, and conclusions in a way that’s clear to any audience; experience with legal writing preferred
- Solid project and time management skills, including ability to coordinate multiple projects simultaneously.
- Unquestioned integrity and ethics.
- Objective and creative problem solver.
- Proven ability to be a partner and trusted advisor to key stakeholders.
- Demonstrated ability to appropriately handle highly confidential information.
Qualifications:
- Active license to practice law in the United States.
- 7+ years of experience as a practicing attorney handling white-collar investigations, government investigations, or complex litigation.
- Proven experience with investigations focused on issues such as compliance, bribery, corruption, fraud and/or white-collar investigations.
- Federal or State prosecution experience preferred.
- Experience utilizing incident management platforms/software, e-Discovery platforms, data analytics, and forensic tools.
Education:
- Juris Doctor from an accredited law school.
