Job Description

Contract to Full Time

We are recruiting for an experienced Corporate Paralegal to join a a rapidly expanding service organization in Elk Grove, CA.  The Corporate Paralegal will manage corporate records, draft and file various business entity documents, support contract review and negotiation, ensure compliance with relevant regulations, and coordinate corporate transactions for contracts, audits, and compliance.  #hybrid Pay range: $80,000-$100,000 DOE. 


The qualified candidate will have In-house Counsel or Corporate Paralegal experience with knowledge of Corporate Law including tax filings, tax and contract compliance and familiarity with mergers & acquisition business contract reviews and negotiations.


PRIMARY RESPONSIBILITIES:

  • Manage state and local business registrations and renewals across multiple states.
  • Prepare and file corporate documents such as state and local tax documents for 1099 workers.
  • Create and manage database and calendar of requirements by state.
  • Track and manage corporate compliance deadlines, including annual report filings.  
  • Review and draft standard vendor contracts and agreements.
  • Assist with selection and implementation of a contract management system.
  • Manage contract lifecycle tracking and filing systems.
  • Assist with due diligence processes by reviewing corporate documents and legal filings related to potential acquisitions.
  • Prepare closing checklists and documents for mergers and acquisitions.
  • Assist with litigation, insurance claim submission and claims management.
  • Conduct legal research and provide summaries of findings
  • Maintain and organize legal files and documents
  • Monitor and research relevant state and federal regulations impacting the company.
  • Identify potential compliance risks and advise Finance, Accounting and HR.
  • Maintain compliance calendars and tracking systems.


SKILLS & QUALIFICATIONS:

  • Bachelor’s degree or Paralegal certificate or equivalent Paralegal experience.
  • Minimum of 5 years of experience as a Paralegal or Corporate/In-house Legal Secretary.
  • Strong knowledge of state and local registration and tax filing procedures.
  • Strong understanding of corporate law principles and procedures.
  • Excellent attention to detail and ability to manage multiple tasks simultaneously.
  • Proficiency with legal research tools and document management systems.
  • Excellent written and verbal communication skills.
  • Excellent organizational and time management skills.
  • Ability to work independently and manage multiple tasks simultaneously.
  • Proficient in Microsoft Office Suite (Word, Excel, Outlook).

Salary
  • $80,000 - $100,000
