Locations: LA, SF, NYC (Hybrid)
Our client is seeking talented associates with 4 to 8 years of experience to join their dynamic Venture Capital & Emerging Companies practice at a distinguished national law firm. The firm combines exceptional legal expertise with strategic business consulting, offering comprehensive services to venture capital and private equity firms, startup companies, and major corporations. As an associate, you will play a pivotal role in advising businesses, providing both legal counsel and strategic guidance to support client growth and success.
This diverse team includes lawyers, entrepreneurs, consultants, policy experts, and venture capitalists who advise clients across various stages of the corporate life cycle. Their clientele spans industries such as digital health, fintech, crypto/Web3, gaming, media/entertainment, AI, ESG, cannabis, and consumer brands. You will navigate complex areas including venture finance, partnerships, mergers and acquisitions, and general corporate matters. Candidate Qualifications:
- Proven experience leading venture finance transactions, mergers and acquisitions, and corporate governance matters.
- In-depth knowledge of startup/financing documents, including convertible notes, SAFEs, priced equity rounds, NVCA model documents, SAFTs, and Token offerings.
- Strong transactional experience, including drafting commercial agreements, negotiating with opposing counsel, and managing teams through diligence and transaction closures.
Requirements:
- At least four years of experience in the venture capital industry.
- Demonstrated ability to lead deal teams and manage transactions from inception to closing.
- Exceptional written and verbal communication skills.
- Strong client-facing skills and the ability to work independently.
- Team-oriented mindset with the ability to collaborate across various practice areas within the firm.
- Advanced proficiency in Excel, particularly with cap tables, exit waterfalls, and financial modeling tools.
- Active bar membership in good standing in the jurisdiction of practice.
